An exciting and rare opportunity for a senior lawyer to join a leading specialist day and short-stay hospitals group in the role of Senior Legal Counsel and Company Secretary.If you are after work/ life balance, this opportunity is offered on a part-time basis - 3 days per week, with flexibility in how hours are worked across the week and a hybrid office/work-from-home model. The role will involve some travel as required. Melbourne preferred and we welcome applicants from Sydney and Brisbane. About the Role: Reporting to the Chief Financial Officer, the Senior Legal Counsel and Company Secretary will provide legal advisory service and guidance to mitigate risk to safeguard the interest of Nexus’ business operations on all legal and compliance matters, and company secretarial support to meet all statutory and legal obligations. Legal Advisory and Advocacy Perform cross function and multi-disciplinary legal support and advice to ensure compliance with all applicable laws and Group legal guidelines Provide expert and strategic legal advice to management in relation to legal matters and transactions Anticipate issues and estimate corporate legal risks strategically and identify proactive solutions that will eliminate or mitigate risks and maximise legal rights Keep abreast of legislative changes, laws, rules and regulations and provide update to the Board, Executive and broader business as required Advise, review, draft and/or negotiate commercial agreements and other in-bound commercial agreements Develop and maintain contract and risk registers Communicate across functions and participate in the sharing of knowledge and awareness of legal commitments and initiatives through the business Ensure the business is compliant with legal and regulatory obligations (including education and training) Take all practical steps to minimise Nexus’ exposure to contractual and professional liability Manage and mitigate legal risks by developing and implementing company policies and procedures In conjunction with Operations, prepare risk reports to the Board, Committees and Executive and provide hospital accreditation support in relation to risk management Company Secretary Administration and Support Act as Company Secretary to various Groups and subsidiary Board and Committees Assist the Board and Committees with implementing and maintaining sound corporate governance practices and best practices Provide practical, timely and professional counsel to the business on all matters of corporate governance With support of the Executive Assistant/Office Manager, arrange Board and Committee meetings, minutes, agendas and papers Prepare and oversee the execution and implementation of resolutions Attend Board and Committee meetings and prepare minutes and matters arising Maintain and update the Board and Committee charters, policies, and protocols About you: You are a natural collaborator who works effectively with all stakeholders. An exceptional communicator and have the ability to work autonomously whilst maintaining a ‘one team’ approach. Law degree and current practicing certificate.
