Responsibilities
We are searching for a commercially astute General Counsel / Assistant General Counsel to take ownership of all legal matters pertaining to our investments, the Group and our operating companies.
As General Counsel / Assistant General Counsel, you will be part of the senior leadership team, providing strategic counsel to the Group and the operating companies. This is a high visibility and high impact role in which you will participate in and influence business decisions across the Group.
Clermont’s legal team is a practising law department, which means that its lawyers are called to perform activities and execute transactions.
You will play a dual role of legal advocate and corporate advisor, with direct accountability to the Group President and the Chairman. Your role entails providing expert and strategic legal advice to management, setting internal governance policies and managing the impact of external factors, including advancing risk mitigation strategies.
Key responsibilities:
- Overseeing the legal matters of the business as a whole, including acting as the business’ legal representative
- Advising the investment team, negotiating and managing all M&A activities within the Group, including deal structuring
- Producing and reviewing investment agreements including SPAs, SHAs, term sheets and JV agreements, where appropriate
- Overseeing corporate structure and regulatory requirements of the Group’s investment entities and fund structures
- Researching and monitoring legal requirements for public market investments across exchanges and jurisdictions globally
- Supporting the Group on range of legal issues, from human resources, contract review to external communications
Managing external counsel on a range of corporate and litigation matters
Requirements
The successful candidate will ideally possess the following traits:
- 15-20+ years of legal practice experience with transactional/M&A, general corporate and/or private equity experience gained at top Singapore and/or international law firms or from in-house positions
- Demonstrable competency in a broad discipline of corporate legal matters that cover M&A, merger control, corporate finance, public securities, structured finance, trading, corporate governance and private equity
- Established experience in private equity transactions, investment management issues and risk management strategies
- Active involvement in supporting mid to large scale deals
- Ability to negotiate with, influence and manage multiple stakeholders to bring transactions, policies and projects to a successful close
- Ability to provide strategic thought leadership at all levels, bringing to bear a confluence of business acumen and analytical skills in assessing business opportunities and strategic direction at both operational and transactional matters
- Having the humility to learn and collaborate with team members and be a team player at every level of the organisation
- Strong interpersonal skills oriented to effective verbal and written communication, problem solving, decision-making and assertiveness
- Intangible skills that include sound judgement, intuition, integrity and an ability to adapt to/embrace challenging and ambiguous situations
- Proven ability to serve as a trusted advisor with a history of building trust with others
