A Brief Summary of This Position:
This position serves as a senior legal leader responsible for providing strategic legal counsel to the company on a broad range of complex legal, commercial, regulatory, and trade-related matters. The Assistant General Counsel partners closely with senior leadership to support the company’s global strategic objectives and day-to-day legal operations.
The role requires broad legal expertise and the ability to advise, influence, and support business decisions across multiple functional areas. The Assistant General Counsel will focus on contract review and negotiation, regulatory compliance, trade and customs matters, and overall risk management. This position works closely with internal stakeholders and external advisors to enable commercial objectives while protecting the company’s legal and reputational interests.

Essential Functions:

  • This position reports to the General Counsel, North America

  • This role requires up to 10% domestic travel, including overnight stays

  • Must be able to work in the office 5 days per week

  • May be called upon to support or guide paralegals or junior attorneys, helping drive efficiency, professional growth, and high-quality deliverables

  • Operate effectively within a lean, high-performing legal team while ensuring legal support scales with business growth in a complex organization

  • Explain complex legal principles in simple, understandable terms and provide actionable guidance across all levels of the organization

  • Demonstrate strong organizational and leadership skills to influence adherence to corporate policies and risk management standards

  • Possess expertise in claims and dispute resolution, including early risk assessment, strategy development, and coordination with stakeholders and outside counsel

  • Maintain substantive knowledge of Article 2 of the UCC to support risk-aligned commercial contracting practices

  • Draft, review, and negotiate a wide range of commercial agreements, including supply agreements, NDAs, RFPs, and other transactional documents

  • Meet with business teams to advise on compliance matters and current legal issues

  • Partner with business teams to support commercial transactions while balancing legal risk and business objectives

  • Coordinate and manage outside counsel and litigation to ensure effectiveness, alignment with company objectives, and cost efficiency

  • Lead or support dispute resolution efforts, including strategy development and negotiations

  • Keep informed of industry-specific regulations and ensure appropriate risk management strategies are in place

  • Research and analyze complex legal issues and prepare summaries or briefs for internal stakeholders

  • Analyze and summarize complex legal documents, providing practical, risk-based recommendations

  • Negotiate contractual and dispute-related matters with external parties, including participation in settlement discussions

  • Anticipate and mitigate potential legal risks through proactive counseling and process improvements

  • Design, implement, and continuously improve enterprise-wide risk management processes

  • Provide legal support across global operations, ensuring compliance with applicable laws, regulations, and trade requirements

  • Advise on trade compliance matters, including import/export regulations and customs requirements


Other Important Details about the Role:

The primary objective of this role is to provide strategic legal guidance to management across a wide range of legal matters, with
particular emphasis on commercial contracting, regulatory compliance, trade, and risk management. The Assistant General Counsel
supports the review, negotiation, and management of contracts, while also advising on legal risks associated with business operations
and cross-border activities.


This role is responsible for managing outside counsel in dispute-related matters and ensuring alignment with the company’s legal
strategy, cost objectives, and risk tolerance. The position works closely with senior leadership, business teams, and external advisors,
serving as a trusted legal partner in support of corporate strategy and operational execution.

Required Qualifications of Every Candidate:


• Juris Doctor (J.D) and State Bar License
• Ten years of experience in a law firm or corporate legal department
• Strong leadership, analytical, verbal and written communications skills
• Ability to work independently or as part of a team
