Description

The KDN Office of General Counsel (OGC) is responsible for managing the organization's global legal and regulatory risk and supporting our business functions and other corporate services in delivering on our commitments as an accelerator to KPMG's Global Collective Strategy. The OGC is seeking an experienced corporate and commercial lawyer who will help provide legal leadership to our business teams in India to help us achieve our growth and trust agenda and to work collaboratively with KPMG network firms worldwide. This is a sophisticated generalist role, and the successful candidate will support a variety of corporate, commercial, governance, regulatory and transactional matters in India. The successful candidate will need to be able to work independently and as part of the wider OGC team and advise people at all levels of our Indian operations.



Responsibilities

- Be our lead lawyer in India supporting our local subsidiary Global Delivery Centre's/ Global Capability Centre's legal needs
- Advise on a wide variety of corporate, commercial, governance and regulatory matters as part of a global organization with a specific focus on India
- Support our Corporate Development Team with the local aspects of our strategic transactions including M&A, business set-ups, reorganizations and other initiatives
- Assist with our corporate governance requirements, including assisting with preparing local Board materials attending meetings and arranging for statutory filings
- Draft and review complex commercial agreements such as shared services, technology, procurement, RFPs and engagement and assist with leasing matters (real estate and equipment)
- Provide pragmatic advice on contractual obligations, rights, and liabilities presented to/ proposed by business stakeholders, ensuring alignment and compliance with KDN and KPMG objectives, including advice on remediation strategies in consultation with OGC colleagues where necessary
- Reviewing and analyzing applicable regulations (e.g., technology, privacy, export, security, sanctions and AML), and incorporating those into commercial contracts as required by business stakeholders
- Supporting our local HR team with employment law related matters (under the expert supervision of our Employment Law lead), including assisting with local investigations
- Manage external legal counsel in India and ensure work is completed in a cost-effective manner
- Balance the need to deliver practical and business-focused legal advice in compliance with KDN's risk appetite and global compliance obligations
- Make presentations and support the provision of legal training to our business functions on important legal topics
- Develop collaborative relationships across KDN and the wider network of KPMG member firms 



Qualifications
  • Bachelor of Laws (LL.B.) or an equivalent degree with an active license to practice law in India (Gurgaon) (or in receipt of necessary waivers while seeking qualification on a timely basis).
  • Experienced lawyer with a minimum of 15 years of post-call experience with significant time spent at a major law firm ('Big 4' accounting firm and/ or other relevant in-house experience is desirable as an add-on).
  •  Strong legal skills with a demonstrated ability to lead/ support complex corporate and commercial law and regulatory initiatives.
  • An advanced risk management and strategic mindset with the ability to quickly spot issues and recommend mitigation options that enable our business to meet our objectives without taking on unacceptable risks.
  • Expertise negotiating, drafting and reviewing transaction and commercial agreements and advising on laws and regulations across multiple jurisdictions.
  • Experience advising on corporate governance and mergers & acquisitions/ new business set-ups
  • Able to work on a wide variety and types of matters as the sole local lawyer for a major subsidiary (as part of the wider OGC team)
  • Able to work independently and manage complex files while also collaborating with business teams and other OGC team members.
  • Balances the needs and demands of a fast growing global business with legal and compliance risk management.
