Role Overview The Assistant Vice President-Corporate Counsel, Product & Distribution will provide expert legal advice and support on all matters related to the development and distribution of new annuity and life insurance products. The primary role of this individual will be to represent the Legal & Compliance Department as a member of a cross-functional Product Development & Implementation Team. This individual will also provide legal support in connection with issues arising out of Prosperity’s in-force blocks of annuity and life insurance products. This individual will create valuable risk management recommendations by actively identifying and logically assessing potential legal risks in ambiguous, unique, and/or complex business situations which have the greatest potential for significant impact on the company.   Key Responsibilities  Provide legal support and review for policy forms, administrative forms, product illustrations, licensing agreements, and operational guidelines applicable to products in development. Ensure products, marketing of products, and operations are in compliance with insurance regulations (contract provisions, suitability, replacements, sales practices, etc.)  Regularly attend business partner meetings to better understand business processes and needs. To that end, seek to collaborate and communicate with members of Prosperity’s Product Development & Implementation Team in order to meet desired product launch dates. Provide timely and concise legal advice in connection with the expansion of Prosperity’s product distribution network. Work closely with Prosperity’s Distribution Team to draft and  negotiate selling agreements for the independent, bank and broker-dealer channels. Identify and logically assess potential legal risks. Create risk management/mitigation recommendations using sound risk assessment information for further achievement of business objectives. Draft necessary legal documents and develop conclusions and recommendations. Regularly interact with the Deputy General Counsel on all legal matters relevant to products and distribution. Provide ongoing support to the dedicated compliance team within Prosperity’s Legal & Compliance Department. Collaborate with the General Counsel, fellow attorneys, and compliance professionals in connection with special projects and regulatory responses.   Location  The preferred location for this position will be New York or Texas.  The Company may consider remote work in certain situations.   Education & Experience Law degree (J.D. or equivalent) and bar admission required, with practice and knowledge annuities and life insurance products. 7+ years of relevant experience either with a law firm, insurance company, or other financial services institution. 5+ years of progressive experience in annuities and life insurance products. Experience working closely with Distribution, Actuarial, Product Filing and Operational functions. A strategic end to end view in organizing and planning work or initiatives and ability to deliver exceptional results and outcomes that involve managing or influencing others. A mastery of both written and oral communications with the goal to provide concise, clear messaging to persuade the audience, especially at the executive level.
