General Function

OSC Global is seeking a strategic and seasoned Chief Legal Officer (CLO) to lead our legal, regulatory, and compliance functions. As a $250M engineering, enterprise IT, and cybersecurity firm primarily serving the Department of Defense (DoD), Department of Energy (DoE) and private sector our operating environment is defined by high-stakes federal regulations, complex intellectual property (IP) landscapes, and rigorous security requirements.

 

The CLO will serve as the Company’s Business Ethics and Compliance Officer and a key member of the executive leadership team, providing counsel on corporate governance, operational compliance, government contracting (FAR/DFARS), cybersecurity regulations and strategic growth initiatives including M&A. The role will also regularly interface with CIRI’s CLO and assist with larger strategic initiatives across the CIRI Enterprise. 

 

The CLO oversees the Facility Security Officer function, ensuring compliance with the National Industrial Security Program, federal regulations, and customer security requirements. The CLO governs all security programs, advises leadership on risk and regulations, and aligns security controls with legal and business needs to support effective operations in classified environments.


Major Activities (Typical Duties/Responsibilities)


  1. Executive Leadership & Corporate Governance
    • Strategic Advisory: Serve as the primary legal and compliance advisor to the CEO, C-Suite, Business Unit Presidents, and Senior VPs. You will integrate legal risk assessments into corporate strategy, ethics programs, and high-value decision-making to ensure OSC Global’s growth remains principled and protected.
    • Corporate Governance & Entity Management:
      In coordination with the OSC Global CEO, C-Suite, CIRI Chief Legal Officer, and the OSC Global Board of Directors, manage all aspects of corporate governance. This includes oversight of entity management, joint ventures, and the development of international legal structures as the company scales. Advise on conflicts of interest, fiduciary duties and compliance with ANC shareholder and SBA 8(a) requirements.
    • Comprehensive Compliance Architecture: Establish and oversee an enterprise-wide compliance framework that mirrors the complexity of our DoD and DoE portfolios. You will be responsible for ensuring that all business operations, internal policies, and strategic initiatives align with federal regulatory mandates and ethics standards.
    • Contractual Integrity: Lead the transformation of the contract review process, ensuring every agreement—from prime contracts to sub-tier vendor labs—is optimized for legal compliance and rigorous adherence to related federal acquisition and security regulations.
    • Strategic Growth & M&A: In coordination with CIRI legal and M&A teams, provide legal and compliance due diligence for potential mergers and acquisitions. , Lead the legal and compliance due diligence for potential joint ventures. You will ensure that target entities meet OSC Global’s rigorous standards for regulatory standing and security clearances during integration.
    • Outside Counsel Management: Oversee and optimize the external counsel budget, strategically selecting and managing specialized firms for patents, complex litigation, or specialized tax matters to ensure maximum value and expert coverage.
    • Supervises the contracts organization and the Facility Security Officer (FSO) functions for OSC Global.
  2.  Federal Contracting and Regulatory Compliance
    • Contract Lifecycle Leadership: Provide high-level legal architecture to the Contracts and Proposals teams throughout the entire lifecycle—from translating complex RFP requirements and shaping proposal strategies to leading high-stakes negotiations and overseeing seamless contract close-outs.
    • Acquisition Authority:Serve as the definitive Subject Matter Expert (SME) on the FAR, DFARS, and DEAR (Department of Energy Acquisition Regulation). You will be the final word on regulatory interpretation and its impact on OSC Global’s strategic positioning.
    • Structural Risk Management:Design and oversee the legal framework for all prime and subcontracting agreements, with a specific focus on identifying and mitigating Organizational Conflicts of Interest (COI) to protect our competitive standing.
    • Audit & Financial Integrity:Champion an "Audit-Ready" culture by ensuring rigorous compliance with DCAA and DCMA  You will manage the legal complexities of CAS (Cost Accounting Standards) to ensure financial transparency and regulatory alignment.
    • Specialized Labor Compliance:In partnership with HR, provide legal oversight for complex wage determinations—including SCA (Service Contract Act) and Davis-Bacon Act requirements—ensuring our enterprise IT and engineering workforce remains fully compliant across diverse federal jurisdictions.
    • Small Business Administration: Support SBA small business program compliance including affiliation, limitations on subcontracting and reporting.
  3.  Technical, Cyber & Intelligence Legal Oversight
    • Cybersecurity Attestation: Lead the legal framework for  CMMC 2.0 (Level 2/3) and NIST compliance, ensuring cybersecurity standards are legally defensible to prevent False Claims Act (FCA) liability.
    • AI & Engineering Ethics: Advise on the legalities of AI-driven software, ensuring compliance with evolving DOD/DOE AI ethics frameworks and the NDAA.
    • Security & Clearances: Provide legal oversight for Facility Security Clearances (FCL) and Insider Threat programs within the Intelligence Community in partnership with the FSO.
  4.  IP Strategy & Commercial Expansion
    • Data Rights Management: Strategically assert and protect IP/Data Rights (Limited vs. Unlimited) to ensure OSC Global retains ownership of software developed under federal funding.
    • Commercial Pivot: Architect the legal transition of defense-grade cyber tools into the commercial sector, drafting SaaS agreements, EULAs, and managing the shift from FAR-based terms to commercial contract law.
    • Export Control: Manage ITAR/EAR classifications for the global sale of sensitive software and intelligence-related technology.


Knowledge/Skills/Abilities

  • Expert knowledge and demonstrated ability to apply federal acquisition and contracting law, including FAR, DFARS, DEAR, SBA programs (including 8(a)), DCAA/DCMA requirements, Cost Accounting Standards, and the full government contract lifecycle.
  • Advanced knowledge of corporate governance and entity management, including Board advisory responsibilities, fiduciary duties, conflicts of interest, ANC shareholder requirements, joint ventures, international entities, and mergers and acquisitions.
  • Ability to serve as the primary strategic legal and compliance advisor to the CEO, C‑Suite, Business Unit Presidents, and senior leadership, integrating legal risk, ethics, and compliance considerations into enterprise strategy and high‑value business decisions.
  • Advanced ability to design, implement, and oversee enterprise‑wide compliance and ethics programs aligned with complex DoD, DoE, and intelligence‑related regulatory environments.
  • Ability to structure, review, negotiate, and oversee complex government and commercial contracts, including prime and subcontract agreements, vendor arrangements, and technology‑related contracts, ensuring legal sufficiency and risk mitigation.
  • Advanced knowledge in organizational conflict of interest (OCI/COI) assessment and mitigation, protecting competitive positioning across prime and subcontracting relationships.
  • Advanced ability to manage audit readiness and regulatory defense, including DCAA/DCMA audits, CAS compliance, investigations, and False Claims Act risk.
  • Knowledge and applied experience in labor compliance within federal contracting, including Service Contract Act (SCA) and Davis‑Bacon Act requirements.
  • Ability to lead and oversee legal, contracts, compliance, and security functions, including supervision of contracts organizations, coordination with the Facility Security Officer (FSO), and oversight of Facility Security Clearances and Insider Threat programs.
  • Strong knowledge of cybersecurity, information assurance, and technical compliance regimes, including CMMC 2.0, NIST frameworks, and national‑security‑adjacent regulatory standards.
  • Ability to advise on AI, software, and engineering legal and ethical issues, including compliance with evolving DoD/DoE AI ethics frameworks and NDAA requirements.
  • Ability to manage intellectual property and data rights strategy, including asserting Limited and Unlimited Rights under federal funding to protect enterprise value.
  • Ability to support commercial expansion of government‑developed technologies, including drafting and negotiating SaaS agreements, EULAs, and transitioning from FAR‑based to commercial contracting models.
  • Working knowledge and applied ability to oversee export control compliance, including ITAR and EAR classifications for global deployment of sensitive technologies.
  • Ability to manage and optimize outside counsel relationships and legal budgets, engaging specialized firms strategically to ensure cost‑effective, expert legal coverage.
  • Strong executive judgment and leadership ability, including discretion, integrity, accountability, and sound decision‑making in highly regulated, mission‑critical, and high‑pressure environments.
  • Exceptional written, verbal, and interpersonal communication skills, with the ability to translate complex legal, regulatory, and technical issues for non‑legal audiences and build credibility with regulators, government clients, auditors, and industry partners.
  • Demonstrated ability to safeguard highly confidential, proprietary, classified, and sensitive information, exercising the highest standards of discretion, professional judgment, legal ethics and trust.


Physical Abilities 

  • Sufficient fine motor skills for the use of computers, calculators with an ability to withstand repetitive keyboarding for extended periods of time.
  • Visual and communications ability adequate to perform the essential functions of the job.
  • Ability to kneel, bend and twist at the waist on an occasional basis.
  • Ability to reach below shoulder height with regular frequency (desk position) and at or above shoulder height on occasion.
  • Ability to push, pull, carry and lift objects weighing up to 20 pounds on a regular basis, and greater weights on an occasional basis.
  • Ability to travel by vehicle or aircraft, and ability to safely operate a motor vehicle.


Minimum Experience

  • Juris Doctor (JD) from an accredited law school and active Bar membership in good standing.
  • 20 or more years of legal experience, with at least 10+ years in a senior role within a GovCon environment and commercial sectors.
  • 10 or more years direct support of Technology and Cyber Security global organization in a heavily regulated sector (Government, Finance, etc.)
  • Demonstrated experience with CMMC, DFARS 252.227-7013/7014 (Data Rights), and the Service Contract Act.
  • Proven success in a $200M–$500M revenue environment, specifically managing the transition from "Small Business" to "Full and Open" competition or direct experience in M&A from assessment through purchase and integration.
  • Ability to obtain and maintain a Top Secret (TS) security clearance.
  • Ability to pass a background screening
