We are seeking a high-performing Commercial Counsel to join a dynamic, fast-growing team focused on driving enterprise SaaS and strategic partnership deals globally. In this role, you will act as a key legal and commercial advisor, navigating complex agreements while enabling business growth. You will work closely with Sales, Finance, and Deal Operations teams to streamline transactions, reduce risk, and accelerate deal cycles. Accountabilities:
- Lead end-to-end negotiations for complex enterprise SaaS transactions, including MSAs, DPAs, SLAs, and strategic partnership agreements, focusing on large and highly regulated customers.
- Partner with Sales, Finance, and Deal Operations to streamline deal processes, develop templates, and create playbooks to accelerate the sales cycle.
- Provide legal guidance to support global commercial strategy while ensuring compliance with international regulations.
- Develop and deliver training for GTM and Sales teams to empower them to handle first-line legal inquiries and close deals efficiently.
- Serve as a trusted advisor and strategic partner to the commercial organization, balancing risk with business objectives.
Requirements:
- JD from an accredited law school and active membership in good standing with at least one U.S. State Bar.
- 4–7 years of legal experience, including top-tier law firm and in-house SaaS exposure.
- Strong understanding of software development lifecycle (SDLC), DevSecOps, and enterprise SaaS sales cycles.
- Proven negotiation skills and ability to close complex agreements while mitigating risk.
- Operational mindset with experience creating processes, templates, and playbooks to accelerate business.
- Excellent communication, collaboration, and problem-solving skills; ability to thrive in fast-paced, high-impact environments.
- A good sense of humor is highly valued.
