As a Commercial Counsel, you will serve as a key legal advisor across business development, partnerships, product, and operations teams, helping to navigate complex legal challenges while enabling scalable growth. This role requires drafting, negotiating, and managing a wide range of commercial agreements with partners, vendors, and retailers. You will provide practical legal guidance on business strategy, ensure compliance with applicable laws, and anticipate potential legal risks. The position demands a proactive, collaborative, and solutions-oriented approach, with the ability to operate independently in a fast-paced, technology-driven environment. You will work closely with cross-functional teams to create innovative solutions, support business initiatives, and safeguard company interests. This role is ideal for an attorney who thrives on problem-solving and enjoys balancing strategic and operational responsibilities.

Accountabilities:

    • Draft, negotiate, and implement major commercial agreements, including partnership, vendor, and retailer contracts.
    • Provide clear and practical legal advice to business stakeholders across multiple teams.
    • Lead special legal projects from inception to completion, ensuring timely delivery and alignment with business objectives.
    • Develop and maintain standardized legal agreements, policies, disclosures, and processes.
    • Stay up-to-date with relevant laws and regulations, including privacy, e-commerce, consumer protection, intellectual property, and international law.
    • Advise internal clients on contract interpretation and compliance issues.
    • Proactively identify and mitigate legal risks while supporting business growth initiatives.
    • Requirements:
    • J.D. from a top-tier law school and membership in at least one state bar (California preferred).
    • Minimum of 6 years of experience in a law firm or in-house legal department, preferably in technology, e-commerce, or retail sectors.
    • Demonstrated experience drafting and negotiating complex commercial agreements and managing strategic partnerships.
    • Strong knowledge of internet and e-commerce legal issues, including privacy, SaaS, and payments.
    • Excellent negotiation, communication, and interpersonal skills, with the ability to influence and collaborate across teams.
    • Ability to manage multiple high-priority projects simultaneously in a fast-paced environment.
    • Sound business judgment and practical problem-solving skills.
    • Preferred experience in alcohol law, international law, or data privacy and security regulations (e.g., GDPR, CCPA/CPRA).
