Position Summary
We are looking for a detail-oriented and commercially aware Contract Manager to join our team. With 2–3 years of experience, you will take ownership of drafting, reviewing, and negotiating a wide range of standard commercial agreements. You will act as a key advisor to our sales and procurement teams, ensuring that our contracts with clients and vendors protect the company’s interests while facilitating business growth.
Key Responsibilities
1. Contract Negotiation & Review
Draft, review, and negotiate standard commercial contracts (MSAs, NDAs, SOWs, and Change Orders) with clients and vendors.
Serve as the first point of contact for contractual inquiries, resolving routine legal and commercial issues independently.
Collaborate with senior management to escalate complex non-standard terms or high-risk clauses.
2. Commercial Risk Management
Analyze contract terms to identify financial and operational risks; propose alternative language to mitigate these risks.
Ensure all commercial terms (pricing, payment schedules, deliverables) align with company policies and profitability targets.
Monitor existing contracts to ensure compliance with obligations and identify opportunities for renegotiation or renewal.
3. Legal & Process Compliance
Maintain the company’s contract repository, ensuring all documents are signed, filed, and tracked accurately.
Liaise with external legal counsel when specific, specialized advice is required.
Assist in updating standard contract templates and playbooks based on changing laws or business needs.
Qualifications
Experience: 2–3 years of relevant experience in contract management, paralegal work, or a commercial operations role.
Education: Bachelor’s degree in Law, Business Administration, or related field. (Certification in Contract Management is a plus).
Skill Set:
Commercial Focus: Ability to understand the "business deal" behind the contract, not just the legal wording.
Negotiation: Proven ability to negotiate standard terms and conditions confidently.
Risk Awareness: keen eye for liability caps, indemnities, and warranty clauses.
Communication: Strong ability to explain complex contract terms to non-legal stakeholders (Sales, Finance, Ops).
