Job Description

Summary The Corporate Counsel I position is responsible for handling a wide variety of legal matters as assigned by MedImpact’s Chief Legal Officer or their designee. These may include, but are not limited to: providing guidance to internal business partners; drafting and reviewing communications to internal business partners, clients, and third parties; litigation support and strategy; drafting, reviewing, and negotiating a wide variety of contract types (e.g. service agreements, business associate agreements (BAA), settlement agreements, etc.); assisting with the review of legislation and analyzing its applicability to MedImpact’s business operations; and reviewing other legal documents for compliance with MedImpact’s policies and regulatory requirements. 

Essential Duties and Responsibilities include the following. Other duties may be assigned.

  • Assists with a variety of legal matters and corporate development initiatives. Assists senior members of the legal team with a variety of matters, including contract review, discovery matters related to  litigation or other dispute resolution efforts.  Performs research and provides guidance on applicable laws, including but not limited to, HIPAA, HITECH, and other laws related to privacy, licensing, insurance, pharmacies, and pharmacy benefit managers. Assists outside legal counsel in matters assigned by senior counsel.

  • Drafts and/or reviews a wide variety of contracts, documents, and communications,  including but not limited to, service agreements, BAAs, pharmacy contracts, vendor agreements, and other legal documents.  

  • Assists Client Contracts with negotiations of service agreements and other contracts. Reviews RFP responses in support of sales opportunities and to minimize risk to the Company.

  • Supports Regulatory Compliance with review of regulatory requirements and proposed and pending legislation related to the PBM industry. Assists the Corporate Privacy Officer with review and interpretation of a variety of agreements that pertain to data privacy and security, including BAAs and data use agreements. Assists with advising Prior Authorization, Appeals and Grievances, and Formulary Management teams on legal requirements and risks related to pharmacy benefit design, formulary management, and utilization management programs.

  • Reviews and interprets a variety of agreements to ensure they meet corporate, regulatory and legal requirements for such documents, including RFPs.

  • Prepares and examines contracts involving vendor services, leases, licenses, purchases, sales, insurance, etc.

  • Responsible for foreseeing and protecting company against legal risks. Performs risk assessment/risk analysis.

  • Assists with monitoring regulatory requirements to ensure company-wide compliance, including maintenance of the privacy program.

  • Keeps current with emerging regulations, state and federal laws pertaining to the Pharmacy Benefit Management industry.  Monitors legal and regulatory development on a state and federal level; provides updates and input to management regarding laws, regulations and professional standards relating to the PBM industry.

  • Oversees and handles legal and enterprise-wide projects as assigned.

Education and/or Experience                                            

Juris Doctor (JD) with active license to practice law in the United States. If resides in California, then must be licensed to practice in California (or Registered with State Bar of California as a Registered In-House Counsel). This is an entry level position. Pharmacy Benefit Management, pharmacy or healthcare   industry experience desired.    

Computer Skills                                           

To perform this job successfully, an individual should have knowledge of: 

MS Office (Word/Excel/PowerPoint/Teams/Outlook); Ability to perform legal research.

Certificates, Licenses, Registrations

Working Hours

This is an exempt level position requiring an employee to work the hours needed to get the job done.  Therefore one must have the flexibility to work beyond traditional hours and be able to work nights, weekends or on holidays as required.  This may be changed from time to time to meet the needs of the business.  Typical core business hours are Monday through Friday from 8:00am to 5:00pm.
