Job Description
We are seeking a commercially minded and detail-oriented lawyer to join our global Legal team from India. This role is dedicated to the review, drafting, and negotiation of Non-Disclosure Agreements (NDAs) and Mutual Non-Disclosure Agreements (MNDAs), as well as the investigation, triage, and resolution support of customer disputes. The successful candidate will serve as a key point of contact for NDA/MNDA activity across the organization, managing a high volume of agreements on both insightsoftware paper and counterparty paper, while also acting as the front line for customer dispute intake and fact-gathering.
This position operates within a matrixed, U.S.-headquartered legal function. The ideal candidate is comfortable working cross-border, partnering with stakeholders across time zones, and navigating both Indian and international legal and commercial frameworks in a SaaS and technology environment.
What will you do?
MNDA Review & Negotiation
- Review, draft, and negotiate NDAs and MNDAs across all business lines, handling both insightsoftware-initiated agreements (company paper) and counterparty-initiated agreements (customer/partner paper).
- Identify and assess risk in inbound counterparty NDAs, flagging provisions that deviate from company-standard positions and negotiating appropriate fallback language.
- Maintain and enforce company-standard NDA/MNDA templates and playbooks, proposing updates as business needs and market practices evolve.
- Negotiate directly with counterparty counsel and procurement teams to reach commercially reasonable terms efficiently.
- Track and report on NDA/MNDA metrics, including volume, turnaround time, and common negotiation points, to inform process improvement.
- Partner with Legal Operations to optimize intake, routing, and tracking of NDA/MNDA requests through the team's contract management system.
Customer Dispute Investigation and Resolution Support
- Serve as the Legal Department’s initial point of contact for customer disputes, conducting preliminary fact-gathering by collecting relevant documentation, correspondence, contract terms, and internal stakeholder accounts.
- Triage customer disputes based on severity, contractual exposure, financial impact, and reputational risk, applying a standardized classification framework to prioritize the Legal team's response.
- Investigate the factual and contractual basis of disputes by reviewing applicable agreements (including SOWs, order forms, SLAs, and amendments), coordinating with Customer Success, Support, Product, and Finance teams to develop a complete factual record.
- Prepare clear, concise dispute summaries and risk assessments for senior counsel, including a chronological fact narrative, identification of key contractual provisions at issue, preliminary liability analysis, and recommended next steps.
- Maintain a centralized dispute tracker, logging all active and resolved matters with relevant status updates, key dates, financial exposure estimates, and resolution outcomes.
- Identify patterns and trends across customer disputes (e.g., recurring product issues, implementation failures, SLA shortfalls) and report findings to senior counsel and cross-functional leadership to inform proactive risk mitigation.
- Support the development and refinement of dispute intake and escalation protocols, template response letters, and internal playbooks to improve consistency and efficiency in dispute handling.
Cross-Functional Collaboration
- Serve as a trusted legal advisor to Sales, Product, Finance, and Customer Success teams, translating complex legal concepts into clear, actionable guidance.
- Serve as a knowledgeable and approachable resource for internal business teams regarding confidentiality obligations, permitted disclosures, information-sharing protocols, and customer dispute procedures.
Risk Management & Compliance

- Maintain awareness of relevant regulatory developments (e.g., data privacy, export controls, IP) and advise internal stakeholders accordingly.
- Support the development and implementation of legal policies and compliance frameworks.

Qualifications
Required Experience & Education
- LL.B. degree (5-year integrated programme or 3-year programme) from a recognized university approved by the Bar Council of India.
- Enrollment with a State Bar Council and successful completion of the All India Bar Examination (AIBE).
- 3–6 years of post-qualification experience, with substantial exposure to NDA/MNDA review and negotiation, ideally in a technology, SaaS, or software environment.
- Prior experience in an in-house legal role at a multinational corporation, or significant experience at a reputed Indian law firm advising technology or SaaS clients on commercial contracts.
- Experience working with both company-paper and counterparty-paper agreements, including agreements governed by the laws of jurisdictions outside India.
- Demonstrated ability to manage high volumes of agreements with consistent quality and fast turnaround.
- Strong drafting and redlining skills, with an eye for risk identification and plain-language negotiation.
- Proven ability to investigate and distill complex factual scenarios into clear, actionable written summaries.
- Excellent written and spoken English communication skills, with the ability to communicate effectively with U.S.-based legal leadership and global business stakeholders.
- Comfort working in a matrixed, cross-border team structure with reporting lines to the United States.
