monday.com is looking for a Corporate Legal Counsel to join our legal team in Tel Aviv. This is a high-impact, cross-functional role at the intersection of securities law, M&A, corporate governance, and investor relations—operating across both Israeli and US legal frameworks for a NASDAQ-listed foreign private issuer.

- Advise on Israeli and US securities law matters for a NASDAQ-listed foreign private issuer, including ongoing SEC reporting obligations (Forms 6-K, 20-F), NASDAQ listing rule compliance, and materiality assessments for public disclosure.
- Structure, negotiate, and execute M&A transactions—including asset purchases, share acquisitions, and acqui-hires—from term sheet through closing and post-closing integration.
- Evaluate and structure venture and strategic investment transactions (SAFEs, convertible instruments, minority equity investments), including negotiations and investor rights.
- Support corporate governance under both Israeli Companies Law and US securities regulations, including board and committee materials, related-party transactions, and executive compensation matters.
- Coordinate with external counsel on securities and corporate regulatory inquiries, and enforcement matters.
- Conduct disclosure analysis and provide strategic guidance to senior leadership on materiality, selective disclosure risk, and Reg FD considerations.
- Provide legal support across departments on corporate, commercial, and regulatory matters on an as-needed basis, serving as a trusted partner to stakeholders in Israel and worldwide
- 5+ years of relevant post-qualification legal experience in-house at a technology company or in the corporate/securities practice of a leading law firm.
- Substantive experience with Israeli and US corporate and securities law, including public company reporting and compliance.
- Hands-on experience drafting and structuring M&A transaction documents (asset purchase agreements, SPAs, merger agreements, ancillary documents).
- Proficiency in legal research across multiple jurisdictions.
- Native-level English proficiency (written and spoken).
- Professional fluency in Hebrew (written and spoken).
- Ability to manage multiple concurrent workstreams under deadline pressure with excellent judgment and attention to detail.
- Strong interpersonal and communication skills, with the ability to build trust and credibility at all levels of the organization.
Strong Advantages
- Experience with foreign private issuer (FPI) reporting obligations and the interplay between SEC, ISA, and NASDAQ regulatory frameworks.
- Experience with venture capital transactions, or strategic minority investments.
- Prior experience at a company dual-listed on NASDAQ and TASE, or at a firm representing such companies.
- Familiarity with Israeli Companies Law corporate governance requirements (board approvals, related-party transactions, internal auditor provisions).
