Job Description

The Counsel – PBM Sales and Account Management position provides enterprise-wide support and guidance for U.S. and global contracting activities, with an emphasis on benefit management services contracts. The position will work closely with Sales, Legal, Compliance, and business colleagues and will report directly to the Senior Managing Counsel for PBM Legal Transactions.

The position requires an ability to negotiate and draft contract terms across a wide area of contracts, ensure that contracts meet compliance/governance requirements and work with clients at all levels on a daily basis. Candidates must have knowledge and expertise in contract drafting, compliance, risk evaluation and management of vendor relationships, including pre-litigation disputes.

The role will involve the following:

  • Contract Drafting and Negotiations: Experience in drafting and negotiating contract terms, templates and guidelines for contracting, including standard alternative clauses for a wide range of commodities
  • International Contracting: Working with global internal legal colleagues and vendors on contracting and related issues
  • Risk Management and Compliance: Identification, evaluation and reporting on potential risk in connection with commercial contracting and disputes; meeting with senior legal, corporate and client management concerning key risk issues
  • Training, Education and Presentations: Ability to develop and provide training to all levels of the organization; strong presentation skills, including the ability to present to senior management

Responsibilities:

  • Negotiate various types of services, licensing and technology transactions with domestic and international clients with a focus on limiting Evernorth
  • s liability, protecting Evernorth’s confidentiality and intellectual property rights and protecting customers’ privacy interests.
  • Negotiate resolutions to disputed, pre-litigation issues consistent with Cigna’s objectives.
  • Provide and manage contract template language and accompanying training materials for use by Evernorth contracting staff.
  • Effectively matrix with senior-level attorneys and critical business partners, including Compliance, Privacy, Information Technology, operations and Corporate/Business Development
  • Manage outside counsel on discrete matters as may be required
  • Work with Legal, Compliance and business clients in developing, implementing, and coordinating contracting and governance strategies
  • Proactively identify contracting risks for business partners

Qualifications:

  • Juris Doctor required and active bar membership in at least one U.S. jurisdiction
  • 3+ years of commercial contracting experience in positions of increasing responsibility, with at least a portion of practice focused on the negotiating and drafting of vendor transactions.
  • Strong drafting and negotiation skills
  • Strong preference for familiarity with healthcare, insurance, benefits and/or pharmacy
  • Experience supporting Freedom of Information Act and/or Public Information Act reviews is a plus.
  • Ability to understand complex transactions, including intellectual property, international/multinational, and privacy issues.
  • Strong interpersonal skills and the ability to communicate and collaborate effectively with clients and internal business partners, both verbally and in writing.
  • Must produce top-quality work product, have a strong work ethic and have the ability to work quickly and efficiently.
  • Must be able to manage competing priorities and to meet demanding deadlines in a fast-paced environment.
  • Ability to identify business and legal issues and propose actionable legal and business solutions.
  • Demonstrate good judgment and attention to detail.
  • Ability and desire to learn new subject areas and willingness take on new responsibilities.


If you will be working at home occasionally or permanently, the internet connection must be obtained through a cable broadband or fiber optic internet service provider with speeds of at least 10Mbps download/5Mbps upload.

For this position, we anticipate offering an annual salary of 132,700 - 221,100 USD / yearly, depending on relevant factors, including experience and geographic location.

This role is also anticipated to be eligible to participate in an annual bonus plan.
