The Senior Corporate Counsel reports to the General Counsel and provides legal guidance and services to Aquent management and staff on a variety of company matters which may include compliance, contracts, employment law, intellectual property, data privacy law. The Senior Corporate Counsel is also responsible for management and supervision of the Contracts Team. Specific responsibilities will depend on the needs of the company, and may include the review and preparation of contracts and other legal documents,  advice to management and project teams on legal matters as they may arise.  Duties/Responsibilities/Primary Function:  ● Negotiate, draft, and review a wide range of client and vendor agreements, including professional services agreements, master services agreements, confidentiality agreements, SaaS and technology agreements, data protection addenda, and related statements of work.  ● Advise stakeholders regarding relevant issues and risks in our contracts, and ensure our agreements reflect our internal corporate policies and processes.  ● Supervise and manage the performance of the Contracts Team Members. Contracts Team Members may include Contracts Counsel and Contract Managers of varying degrees of skill, experience, and ability to exercise independent judgment in their assignments.  ● Develop contract policies and processes, and evaluate and determine changes in methods or procedures in contracting process  ● Contribute to the continuous improvement of document templates, alternate language playbooks, and internal resource documents.  ● Deliver training and guidance to employees on legal issues, best practices, and company policies. ● Support the People Team and Global Business Services as needed on matters such as account implementation/compliance questions, disciplinary actions and sensitive employee-relations matters, development and review of policies and practices, preparing reviewing and advising on employment agreements, policies, handbooks and separation agreements.  ● Support the organization on special projects as requested.  Required Skills/Abilities/Profile:  ● Excellent verbal and written communication skills.  ● Excellent interpersonal and customer service skills.  ● Excellent organizational skills and attention to detail.  ● Excellent time management skills with a proven ability to meet deadlines.  ● Excellent negotiation and drafting skills. ● Strong analytical and problem-solving skills.  ● Ability to develop and manage the performance of others  ● Ability to prioritize tasks and to delegate them when appropriate.  ● Ability to provide solution oriented advice balancing legal and financial risk in support of achieving business goals  ● Ability to function well in a high-paced and at times stressful environment.  ● Proficient with Microsoft Office Suite and Google Workspace.  Education and Experience:  ● JD from accredited law school  ● License to practice law in at least one US state and in good standing  ● 8-10 years relevant experience.  Physical Requirements:  ● Prolonged periods of sitting at a desk and working on a computer of up to 8hrs per day. ● Remote  The role is considered remote and can be supported from a number of locations that cover standard US working time zones. There will be cases where in person team meetings or attending conferences would be required.
