The General Counsel (GC) serves as Elixir’s chief legal advisor and is responsible for leading all legal, corporate governance, and compliance functions across the organization. This includes oversight of commercial contracts, corporate governance and entity management, regulatory compliance, product-related legal matters, intellectual property, risk mitigation, international legal considerations – particularly relating to the company’s subsidiary – and all company-wide legal strategy.
Essential Functions
Under the general supervision of the CEO, the essential functions include:
Corporate Legal Leadership
- Serve as the company’s primary legal advisor on all corporate, commercial, regulatory, and product-related legal matters.
- Provide proactive, business-oriented legal counsel that enables growth while managing risk.
- Develop internal legal frameworks, standards, and guardrails to guide decision-making.
Contracts & Commercial Support
- Oversee all contract drafting, review, negotiation, and approval workflows, including cloud customer agreements, vendor, MSA, and SOW agreements, and licensing documents.
- Participate directly in complex customer contract negotiations as needed, including high-value, high-risk, or strategically significant deals.
- Maintain templates, clause libraries, fallback positions, and negotiation playbooks; continuously refine them based on legal and business learnings.
- Partner with Sales, Dev/Sec/Ops, Product, and Finance to ensure contract processes support operational efficiency and revenue targets.
Corporate Governance & Compliance
- Serve as Corporate Secretary to the Board, preparing agendas, resolutions, minutes, and ensuring corporate records are complete and compliant.
- Planning, preparation, and scheduling for annual shareholder meetings.
- Oversee multi-state and international entity management, including renewals, annual/biennial reports, and government registrations.
- Manage SAM.gov, business licenses, and regulatory filings.
- Ensure adherence to corporate formalities, internal policies, and compliance obligations across the organization.
Internal Legal Education & Stakeholder Enablement
- Develop and deliver training, guidance, and internal communications to educate employees and leaders on legal considerations relevant to their roles.
- Build legal “quick guides,” FAQs, decision trees, or standards for teams such as Sales, HR, and Product.
- Ensure business units understand where legal risk exists and how to escalate appropriately.
International Legal & Subsidiary Oversight
- Coordinate with international counsel regarding subsidiary governance, tax filings, compliance requirements, and cross-border legal matters.
- Support global operations, foreign employees, and international documentation needs.
- Anticipate and manage international regulatory developments relevant to the company’s products or services.
Employment Law Partnership
- Provide legal support on employment-related matters including hiring, separations, performance actions, investigations, policy creation, and compliance.
- Partner with HR on immigration needs, including employment-based visas and employee travel/visa matters.
- Manage relationships with outside employment counsel to ensure timely and appropriate risk management.
Litigation, Disputes & Risk Management
- Manage litigation strategy, claims, and disputes across the business.
- Coordinate with outside counsel as needed.
- Assess and mitigate legal and business risk proactively.
Insurance & Risk Programs
- Oversee corporate insurance programs, renewals, and claims escalations.
- Work with internal operations to ensure proper coverage across jurisdictions.
- Partner with the HR function to ensure proper workers’ compensation coverage and state addendums.
Intellectual Property
- Manage and protect the company’s intellectual property portfolio, coordinating with outside patent counsel.
Legal Operations Management
- Oversee legal operations, including the implementation and optimization of legal systems (CLM tools, contract repositories, compliance calendars, governance databases).
- Develop legal workflows, intake processes, SLAs, and metrics to improve transparency and efficiency.
- Maintain organized legal records, archives, and retention systems.
- Partner with Finance on budgeting for outside counsel and legal vendors and any open litigation exposure costs.
Board & Executive Support
- Serve as Corporate Secretary, managing board communications, documentation, resolutions, and governance activities.
- Assist Board members with limited personal or administrative legal tasks when aligned with company policy and appropriate boundaries.

- Security Designate responsibilities include: Security Designates serve as the primary security contact for their assigned business unit. They are responsible for processing reports of security incidents, data breaches, and policy violations submitted by direct reports within the business unit and for notifying the acting Chief Information Security Officer (CISO) of reported incidents, breaches, and violations. Security Designates also coordinate with the Human Resources Department and CISO to impose sanctions on direct reports who violate Elixir’s Security and Compliance policies or applicable legal requirements (e.g. GDPR, HIPAA, etc.). Security Designates monitor fulfillment of sanctions and notify the CISO when the terms of sanctions have been fulfilled. Additional responsibilities include processing complaints related to Elixir’s security and privacy program at the department level; submitting exception requests related to Elixir’s Security and Compliance policies to the CISO; and cooperating with investigations of security incidents, data breaches, and security and privacy violations. In carrying out responsibilities related to Elixir’s Security and Compliance program, Security Designates will utilize the appropriate forms available on the Security and Compliance site on SharePoint.
Competencies
- Deep knowledge of corporate, commercial, contract, employment, and intellectual property law.
- Ability to interpret and apply complex legal frameworks across multiple jurisdictions.
- Strong drafting and negotiation skills with the ability to create clear, practical legal documents.
- Proven ability to identify and mitigate legal and regulatory risks.
- Experience with corporate governance and Board support at the executive level.
- Ability to collaborate and build credibility across HR, Product, Engineering, Sales, and Finance.
- Exceptional judgment, discretion, and professionalism.
- Juris Doctor (JD) degree from an accredited law school.
- Active membership in good standing with a U.S. state bar.
- 10+ years of broad-based in-house or law firm legal experience, including: commercial contracting, corporate governance, regulatory compliance, employment law partnership, cross-border or international legal issues, and litigation oversight.
Supervisory responsibilities
This position will eventually involve supervising a paralegal and ensuring effective coordination of their work.
Travel
Weekly travel to the Ojai office and limited travel for Board or subsidiary matters, as well as customer and partner onsite visits for meetings and negotiations.
