This executive role offers the opportunity to shape and oversee the legal strategy for a rapidly scaling organization in the technology and infrastructure space. The General Counsel will serve as a trusted advisor to the CEO, Board of Directors, and senior leadership, guiding corporate governance, compliance, risk management, and strategic transactions. This position combines high-level advisory responsibilities with hands-on legal leadership, including oversight of real estate, energy, commercial contracts, and corporate transactions. The successful candidate will bring expertise in complex legal frameworks, strategic thinking, and commercial judgment to support growth initiatives. This is a highly visible role that requires balancing legal risk with business objectives, while building and scaling a robust legal and compliance function. The role involves occasional U.S.-based travel to support corporate, real estate, and customer engagements.

Accountabilities:

  • Lead corporate governance, maintain legal records, manage board resolutions, and oversee shareholder matters.

  • Ensure compliance with all applicable laws and regulations, including corporate, securities, environmental, privacy, employment, and antitrust standards.

  • Advise senior leadership on legal risks, commercial transactions, and strategic initiatives.

  • Manage real estate, site acquisitions, zoning, permitting, and hyperscale leasing agreements, including drafting and negotiating contracts, easements, and joint ventures.

  • Oversee energy procurement, utility agreements, on-site generation projects, and renewable energy initiatives.

  • Guide corporate and strategic transactions, including mergers, acquisitions, financing, and joint ventures.

  • Provide risk management oversight, including insurance, claims management, and response to incidents affecting operations or data security.

Requirements:

  • J.D. from an accredited law school and admission to practice in good standing with at least one U.S. state bar.

  • 10+ years of broad-based legal experience, preferably including in-house General Counsel or Deputy General Counsel roles.

  • Proven expertise in real estate, data center leasing, land acquisition, and large-scale development projects.

  • Deep knowledge of corporate governance, commercial contracts, and regulatory compliance frameworks.

  • Experience in energy strategy, utility agreements, and sustainability reporting strongly preferred.

  • Strong negotiation skills and ability to manage high-value, complex transactions.

  • Exceptional business acumen with the ability to align legal strategy with commercial priorities.

  • Experience building and scaling legal and compliance programs in growth-oriented organizations.
