Legal Counsel, Legal Operations

The role is based in Amsterdam, the Netherlands.

As our new Legal Counsel for the Legal Operations Team, you will become a part of the Legal, Risk & Compliance function in CIP FS. The Legal, Risk & Compliance function in CIP FS is a global, multidisciplinary function that supports the full legal, regulatory, and risk management framework across all CIP funds and platforms. Comprising around 15 professionals, the team ensures robust legal governance, regulatory adherence, and risk oversight throughout the fund lifecycle and across all jurisdictions.

 

The role

As our new Legal Counsel, you will support a broad range of corporate and regulatory matters across CIP’s fund platform. You will advise on transactions and restructurings, manage key legal workstreams such as asset transfers and co‑investments, and provide guidance on (Dutch) corporate governance and operational matters. In addition, you will handle general corporate legal tasks, including the preparation, review, and negotiation of legal documents, ensuring consistent, high‑quality legal support across our activities.

Responsibilities will consist of, but are not limited to:

 

  • Provide legal advice on corporate and regulatory matters, including M&A, de‑mergers, joint ventures, (re)structurings, corporate governance, finance and regulatory matters

  • Project manage fund-related (re)structurings, including reallocations, asset transfers and co‑investments, safeguarding fund, investor and project positions

  • Provide legal advice on Dutch legal matters, including governance, board meetings, operational matters, tax rulings, and oversight of NL investment platforms and 100+ NL Holdcos

  • Provide general corporate advice, including preparation, reviewing, negotiation and advising on a number of legal documents

You

We are looking for driven and collaborative individual holding a relevant degree within Law and a minimum of 4-5 years of full-time experience, preferably from a corporate, regulatory, or transactional role within a law firm. Experience working in‑house within a private equity environment is considered a strong plus.

  • Structured, thorough and with a high attention to detail

  • Solid project management with a proven ability to prioritize tasks in a fast-paced environment across a wide range of work streams/projects with constantly shifting priorities

  • Ability to operate operational processes and projects continuously and independently

  • Resilient, service minded and positive can-do attitude with a great desire to work in a growing international organization

  • Motivated, energetic, and enthusiastic team player who is proactive and resourceful
