The Role
This position will preferably be located in Westlake, TX but remote candidates with willingness to travel will be considered. As Legal Counsel, you will provide creative, practical, and business-oriented counsel on a wide range of legal, compliance, and contractual matters involving the Solera group of companies in North America. The incumbent must have experience advising business, sales, and product teams in a fast-paced environment while juggling multiple projects and priorities. In this regard, the position will require working closely with business leaders as well as finance, sales, engineering, human resources, product and other personnel. Some travel is expected (< 15%).

 

What You’ll Do

  • ·Counsel and advise Solera North American businesses in legal matters, including working closely with sales, marketing, customer support, product, HR, IT, and finance teams to ensure contractual terms align with company objectives and priorities.
  • ·Draft, review, and negotiate a wide range of technology-related commercial vendor and customer agreements (MSAs, SaaS, license agreements, reseller/channel partner agreements, NDAs, vendor contracts, data processing agreements, service level agreements etc.) to align transaction documents with desired business outcomes and ensure adherence to company policies, commercial specifications and requirements.
  • ·Collaborate with legal team in developing playbooks, clause libraries, checklists, and approval workflows, strengthening contract lifecycle processes and ensuring consistency across business units.
  • ·Draft and maintain online terms and conditions and ensure legal compliance for e-commerce websites.
  • ·Work with subject matter experts to ensure compliance with labor, privacy, financial services, and consumer protection laws and regulations.
  • ·Provide advice and resolve pre-litigation business disputes including customer non-payment issues and early contract terminations.
  • ·Review and provide advice related to email/direct mail marketing collateral and related disclosures.
  • ·Collaborate with Legal team and business partners to help respond to third-party subpoena requests.
  • ·Ability to triage a heavy workflow, meet deadlines, prioritize workload, adapt to changing conditions, set appropriate priorities with clients and deliver results efficiently.
  • ·Work as part of a dynamic, high performing team to proactively resolve commercial and legal issues.

 

What You’ll Bring

  • ·Juris Doctorate Degree from a law school accredited by the American Bar Association.
  • ·Active bar admission in good standing, preferably in TX.
  • ·Superior academic credentials and excellent analytical, attention to detail, writing and communication skills.
  • ·At least 6-10 years of legal practice experience in a variety of areas in a firm or corporation; prior in-house experience is preferred.
  • ·Extensive commercial experience in drafting and negotiating complex contracts with large customers who have negotiating leverage.
  • ·Familiarity with consumer credit, financial services, and consumer protection laws, including GLBA, CCPA, TCPA, FCRA.
  • ·Experience counseling HR on employment matters and responding to EEOC complaints preferred.
  • ·Strong interpersonal skills, excellent judgment and business acumen with well-developed communication skills to advise effectively at all levels of the organization.
  • ·Commitment to the highest ethical and professional standards; personal and professional integrity beyond reproach; unquestioned discretion in maintaining confidentiality.
  • ·Seasoned and balanced business judgment with a strong understanding of financial risk assessment/management.
  • ·Forward-thinking and creative, with the confidence to present and advocate for the implementation of ideas.
  • ·High energy, collaborative, results-oriented with excellent time management and prioritization skills.
  • ·Experience with SalesForce and prior experience with a CLM preferred.
