About the Role

Join us as Legal Counsel at AIA Investment Management!

We are seeking for a Legal Counsel to
1) drive legal operations excellence through the development and maintenance of playbooks, templates, clause libraries, documentation standards, matter and contract lifecycle management processes, LegalTech/AI initiatives, and governance controls aligned with AIA Group policies;
2) provide legal support for derivatives and trading activities, including the negotiation and maintenance of ISDAs, CSAs, GMRAs, clearing documentation, onboarding of trading counterparties, regulatory alignment, dispute management, and documentation lifecycle oversight; and
3) support private assets transactions through negotiation of fund and co‑investment documentation, governance arrangements, MFN analyses, closings, and the standardization of key terms across sponsors and jurisdictions.

Requirements

A. Legal Operations (CLM, Matter Management, Standards)

  • Championing Legal Operations Excellence within the AIAIM Legal Department.

  • Build and maintain playbooks, template suites, and clause libraries for derivatives and private assets; drive adoption of CLM/matter management and knowledge repositories; track KPIs (cycle times, external spend, exceptions/MFN items) and report quarterly.

  • Oversee contract/transaction registers and documentation governance; strengthen MNPI controls (NDAs, wallcrossing/sounding approvals), information barriers, and records retention in line with IGF.

  • Champion automation/LegalTech/AI usecases to reduce cycle times and error rates (e.g., selfservice NDA, term extraction, redline guidance), partnering with Tech

B. Legal Derivatives & Trading

  • Draft, review, negotiate and maintain ISDA Master Agreements, Credit Support Annexes (CSAs), GMRAs, and clearing agreements, custodian, including schedules, amendments, closeout and netting provisions across jurisdictions; coordinate with front office, Risk, Treasury/Collateral and Operations.

  • Support onboarding and relationship management of derivatives counterparties (brokers, clearing members, custodians), including KYC, capacity, authority and legal opinions management; oversee documentation repositories and clause libraries.

  • Advise on new products/structures and documentation impacts (execution, clearing, collateral, custody, brokerage); align with evolving standards and AIA VCC derivatives requirements.

  • Support dispute resolution (collateral/valuation) and closeout analyses with external counsel as needed; maintain cycletime and issueresolution metrics for continuous improvement.

C. Legal Private Assets (Funds, CoInvestments, Directs)

  • Lead legal review and negotiation of NDAs, LPAs, side letters, MFN elections, subscription agreements and related fund documentation; coordinate closings, CP checklists, investor reps/warranties, ESG/reporting and information rights.

  • Support coinvestment and direct investment execution (e.g., SPAs/SHAs, JV/partnership agreements, governance arrangements, exit mechanics), working with Investments, Tax, ODD & BRO and external counsel

  • Maintain private assets playbooks and termbenchmarking to enhance negotiation outcomes and standardization across sponsors and jurisdictions.

Requirements

  • Degree in law and admitted to the Singapore bar
  • Minimum 6 years post qualification experience
  • Derivative and Asset management experience (inhouse or gained in private practice) or knowledge of the regulatory framework applicable to Capital Markets Services Licence holders for fund management and dealing in capital markets products a plus
  • Excellent organizational, interpersonal, presentation and communication skills
  • Keen attention to detail and as a self starter
  • Ability to handle multiple tasks and competing priorities
  • Ability to anticipate and plan in advance
  • Good work attitude and ability to work with stakeholders as well as in teams
