We are searching for an experienced Legal Counsel, Corporate Finance at our MSC Geneva facility.

YOUR IMPACT

As a Legal Counsel within our Corporate Finance Department, you will play a key role in enabling MSC’s continued growth by providing high level legal expertise on sophisticated financing structures, vessel transactions, and strategic investments. This is an opportunity to work at the heart of a dynamic, multicultural organisation, collaborate with senior stakeholders across commercial, technical and financial teams, and contribute directly to the development of MSC’s expanding global fleet and infrastructure.

As a Legal Counsel you will oversee:

  • Transaction Management : Run transactions from term sheet to closing for all types of financings, including shipbuilding contracts and vessel delivery, working in close collaboration with the commercial and technical teams within MSC.
  • Legal Expertise & Contract Negotiation :
  • Provide expert legal input and lead the drafting and negotiation of contracts related to asset financings, including:
    •  Traditional and ECA loan facilities
    • Structured financings such as tax leases or off balance sheet schemes
    • Hedging agreements (ISDA, CSA)
  • Provide expert legal input and lead the drafting and negotiation of contracts related to corporate financing, such as:
    • Revolving credit facilities
    • Bond issuances
    • Securitization
    • Reverse factoring
  • Provide expert legal input and lead the drafting and negotiation of contracts related to:
    • Construction, supervision, and delivery of container carriers, cruise vessels, and other vessel types
    • Sale and purchase of vessels
    • Provide expert legal input and lead the drafting and negotiation of cash investment products.
  • External Stakeholder Management: Drive negotiation of legal terms with external counterparties and liaise efficiently with external advisers in the context of financing arrangements.
  • Operational Processes & Internal Efficiency: Put in place and implement procedures to facilitate effective day to day team operations, including:
    • Follow up and validation of expenses
    •  Opening of bank accounts
    • Updating and improving the archiving system
  • Compliance Monitoring & Reporting:
    • Monitor group commitments to ensure consistent interpretation and compliance with contractual obligations.
    •  Report issues to Finance Directors and recommend appropriate resolutions.

 


Required Qualifications

YOUR BACKGROUND

  • Proven experience in and expertise at negotiating and drafting related construction and financing agreements including with multilateral institutions, yards, commercial banks, export credit agencies and leasing companies.
  • University degree in law from an accredited university.
  • Licensed to practice law and current member in good standing of a bar association (UK preferably).
  • Qualified as Solicitor, with minimum of 4 years post qualification in Financing related legal positions, preferably in private practice with a focus on shipping financing.
  • Perfect command of English both written and spoken, French is a plus.
  • Ability to operate within a small team in a demanding & dynamic environment where confidentiality is key.
  • Reactive, hard worker and attentive to details.
  • Strong organizational abilities.
  • Willingness to work flexible hours (transaction-based position).
  • Demonstrable ability to think strategically.
  • Proven ability to drive change.
  • Good understanding of the logistics and transportation industry.
  • Commitment to high standards of customer service.
  • Strong ability to communicate and persuade at all levels, especially senior levels.
  • Strong entrepreneurial and commercial abilities.
  • Strong interpersonal skills and good coordination abilities.

 

CONTRACT DETAILS

  • Based in Geneva.
  • Full Time.
  • Permanent Role.
  • EU citizenship or valid Swiss work permit is required.
