As we scale, legal is becoming increasingly central to how we fund, govern, and operate the business. This role exists to help us do that thoughtfully, pragmatically, and at speed.
The idea of Nivoda was inspired by the ongoing inefficiency of diamond trading. We set out to develop the solution to help businesses, regardless of their size or location, increase their sales and margins, whilst removing the operational burden of sourcing diamonds.
We’re hiring a Legal Counsel to become the cornerstone of our in-house legal function, owning legal matters across corporate, financial, commercial and governance topics while reducing reliance on external counsel.
You’ll be a commercially-minded generalist with strong experience in equity fundraising and investor diligence, capable of translating complex legal requirements into practical, scalable frameworks that allow the business to move quickly and confidently.
This is a high-impact role with exposure to senior leadership and the opportunity to shape how legal operates at Nivoda as we scale.
Lead legal execution of debt and equity financings, managing diligence, documentation, and coordination with external counsel, investors, and internal stakeholders.
Maintain investor-ready diligence materials and support fundraising processes end-to-end
Own and evolve legal frameworks for financing arrangements, including facility agreements, amendments, and related documentation
Advise on corporate structuring, shareholder matters, and cap table considerations
Partner with Fintech, GTM, Finance, and Product to structure financing and credit offerings, balancing commercial growth with enforceability, recoverability, and risk.
Act as Company Secretary, supporting board and committee processes end-to-end
Prepare agendas, board materials, and take accurate minutes
Ensure statutory filings, resolutions, and governance obligations are met across entities
Support the evolution of governance frameworks toward IPO-grade standards
3. Drive commercial contracting and enable growth
Draft, review, and negotiate a broad range of commercial agreements
Develop contract templates, playbooks, and negotiation guidelines to improve speed and consistency
Strengthen contract management and documentation to support diligence and audit readiness
Manage disputes, providing pragmatic, commercially-minded resolutions
Build and standardise dispute resolution playbooks and processes to ensure consistency, reduce risk, and enable faster resolution over time
Advise on employment and labour law topics in partnership with People
Support employment contracts, offer letters, and employee equity participation
Help structure and maintain equity and incentive programmes (e.g. EMI/CSOP), including compliance, documentation and governance
Provide clear, pragmatic guidance that balances risk with business velocity
Identify legal and regulatory risks early and implement practical mitigation strategies
Translate legal complexity into actionable frameworks for cross-functional teams
5–7 years PQE, worked at a reputable law firm with a corporate and/or finance background
Experience advising scale-ups, particularly in the (fin) tech or marketplace industry.
Strong grounding in corporate law, financing transactions, and corporate governance
Commercially minded, able to balance risk with pragmatism and speed
Excited to leverage legal tech, AI, and automation to improve efficiency, standardisation, and scalability of legal processes
Motivated by building and shaping legal in a high-growth environment
Prior in-house experience at a high-growth tech or e-commerce company.
Experience acting as or supporting as Company Secretary.
Exposure to equity incentive schemes and cap table management.
Familiarity with international or multi-entity corporate structures.
Exposure to IPO readiness frameworks, investor due diligence processes beyond series C
Fundraising and financing processes run smoothly with minimal friction
Governance and board processes are efficient, compliant, and scalable
Commercial teams are enabled to move quickly with appropriate legal guardrails
Legal risks are identified early and managed pragmatically
A strong, scalable in-house legal foundation is established
Work closely with senior leadership and contribute to strategic decisions
High autonomy, broad scope, and meaningful ownership from day one
