This function is within Robeco’s Corporate Secretariat team in Rotterdam. The  team focuses on Investment Fund Support and Robeco Group Governance Support. You will be working closely with other functions like Legal, Compliance, Product Development and other corporate support functions.

The Group Secretariat is headed by the Company Secretary of Robeco Group and consists of 7 colleagues: 4 legal counsels (including the Company Secretary) and 3 Group Secretary Officers. The Group Secretariat is part of the CEO domain.

Position & Requirements

Position

You will report to the Company Secretary of Robeco Group. You will provide administrative and governance support to Robeco's fund management activities, and support the Group Company Secretary in the wider Robeco governance support. You activities include:

  • Providing Fund related support in connection with (o.a.) prospectus updates, dividend distributions, corporate actions, changes to articles of association, organizing general meetings, etc;
  • Providing corporate support together with the Company Secretary, which includes minute taking in EXCO meetings, organizing general meetings, drafting shareholder resolutions of Robeco group companies, annual filing of “403-declarations” for Dutch group entities, etc.;
  • Supporting the process for drafting the Annual and Semi-Annual Reports of Robeco Institutional Asset Management and Dutch funds in conjunction with the Reporting Specialists;
  • KYC and RfP procedures, including collecting and delivering relevant documents, as well as providing advice to the KYC Center.
  • Administrative support, including invoicing (e.g. AFM regulatory costs), Compliance Risk Assessments and Entity Level Controls, managing the AFM portal and E-Herkenning and regulatory AFM reporting.

Requirements

  • Relevant experience gained in a trust office, law firm or in-house within an asset manager or other financial institution.
  • Proactive team player skilled at prioritizing tasks, managing multiple projects with attention to detail, and effectively communicating to build relationships with patience, organizational sensitivity and empathy.
  • Is able to handle confidential information with the highest levels of discretion.
  • Proficiency in Dutch and English and advanced drafting skills.
  • A legal education is a pre, but not a must. The candidate should have sound general knowledge of corporate law and financial laws and regulations.
  • Has the ability to advise on corporate and financial matters while not being reluctant to perform hands-on work (i.e. administrative tasks).

Hybrid Work Model

Robeco has adopted to a flexible way of working, allowing its employees to work from home for two days per week (based on a 40-hour working week). The Corporate Secretariat has a ‘team day’ on Thursday where all team members work from the office.
