How will you make an impact in this role?

Manager & Counsel will be part of the Italian GCO market lawyers team. The role provides legal assistance for governance-related activities, ensuring alignment with regulatory expectations and internal standards. It also supports corporate secretarial functions, assisting the Chair of the Board of Directors, the Supervisory Body (Organismo di Vigilanza), and the Board of Statutory Auditors (Collegio Sindacale), as well as managing the legal structure of internal and external powers of attorney across all market legal entities.

Key Responsibilities:

Governance

  • Manage legal aspects of governance framework design, implementation, and continuous improvement across the market’s legal entities.
  • Coordinate with local and enterprise stakeholders to ensure legal and regulatory alignment in governance practices.
  • Monitor legal and regulatory developments, assess their impact on governance, and ensure timely legal adaptation and compliance.
  • Provide legal support to strategic initiatives on governance, ensuring compliance and legal risk mitigation.

Corporate Secretarial Activities:

  • Legally support the organization and management of Board of Directors and committee meetings.
  • Draft and maintain corporate legal documentation, including minutes, resolutions, and statutory filings.
  • Ensure compliance with corporate governance laws and internal legal policies.
  • Support the Chair of the Board of Directors in fulfilling governance obligations.
  • Provide legal assistance to the Organismo di Vigilanza and Collegio Sindacale in their institutional activities.
  • Maintain and oversee the legal entity structure and documentation for audit and regulatory purposes.
  • Design, implement, and maintain the legal structure of internal and external powers of attorney across all market legal entities, ensuring consistency, compliance, and operational efficiency.
  • Prepare and deliver legal governance reports and updates to senior leadership and relevant governance bodies.
  • Promote a culture of legal integrity, transparency, and accountability in governance practices.

Minimum Qualifications:

  • University degree in Law.
  • Proven legal experience in governance, corporate law, and legal entity management within a regulated or complex organizational environment.
  • Strong knowledge of corporate governance frameworks, regulatory compliance, and legal risk management.
  • Excellent legal drafting, communication, and stakeholder engagement skills (Italian and English)
  • Ability to manage complex legal initiatives and influence across functions and jurisdictions.
  • Strategic mindset with attention to legal detail and problem-solving capabilities.
