Job Description

We are seeking a proactive, business-minded, and detail-oriented Procurement Attorney to join our legal team at a dynamic technology company. This role will focus on supporting the procurement of marketing related services (including lead generation tools), software, SaaS, cloud services, and contractor services, and reseller and partner relationships. The ideal candidate will be comfortable working independently, exercising sound legal and business judgment, and collaborating cross-functionally.  You will be instrumental in negotiating complex agreements, ensuring regulatory compliance, and supporting scalable vendor and contractor relationships that align with our business goals.
 

What will you do?

  • Review, and negotiate a wide range of procurement contracts, including:
  • Software licenses, SaaS agreements, and cloud service contracts
  • Lead generation and marketing technology tools including AI tools
  • Professional services agreements and independent contractor agreements
  • Master service agreements (MSAs), statements of work (SOWs), and NDAs
  • Draft and structure detailed, legally sound Statements of Work (SOWs) that clearly define deliverables, timelines, milestones, and payment terms
  • Advise internal stakeholders (Marketing, Product Development, IT) on legal and business risks related to software and contractor procurement and legal generation software, including IP rights, data privacy, consent management, compliance with marketing laws (e.g. CAN-SPAM, GDPR, CCPA), cybersecurity, and labor classification.
  • Ensure compliance with applicable laws and regulations such as GDPR, CCPA, export control laws, and labor/employment standards.
  • Collaborate with IT, InfoSec, HR, Accounting, and Procurement teams to support vendor and contractor onboarding, due diligence, and contract lifecycle management.
  • Develop and maintain procurement templates, clause libraries, contract templates, and playbooks tailored to technology and contractor engagements.
  • Support internal audits and vendor risk assessments, particularly for high-risk or high-value contracts.
  • Assist in resolving disputes or performance issues with vendors and contractors.
  • Monitor legal and regulatory developments in technology procurement and workforce compliance and provide training to internal teams.
  • Work independently and manage multiple priorities, while knowing when to escalate or seeking input on complex or high-risk matters.
  • Exercise sound judgment in balancing legal risk with business objectives in a fast-paced, evolving environment.

Qualifications

Required Experience & Education

LL.B. degree (5-year integrated programme or 3-year programme) from a recognized university approved by the Bar Council of India.

Enrollment with a State Bar Council and successful completion of the All India Bar Examination (AIBE).

3–6 years of post-qualification experience, with substantial exposure to technology and SaaS agreements, or software environment.

Deep understanding of commercial contract law and labor classification issues.

Strong written skills and ability to draft SOWs for services.

Strong negotiation and communication skills, with the ability to translate legal concepts into practical business advice.

Demonstrated ability to work autonomously and make informed decisions.

Preferred Experience

Experience working in-house within a commercial law team on the “buy-side” at a technology company or advising tech clients at a law firm.

Experience with contract management systems and legal operations tools.
