Job Summary

The Senior Director, Assistant General Counsel is a pivotal member of the legal department, providing strategic legal advice to the organization and executing the company’s legal strategy. This position provides strategic legal support in their designated practice area overseeing and conducting in-depth legal research, case management, budget monitoring, and strategically managing outside counsel relationships. Additionally, this role will play a key part in mitigating legal risks and supporting the organization’s business objectives.

Major Tasks, Responsibilities and Key Accountabilities

  • Collaborates with legal team and stakeholders to provide expert and strategic legal advice on broad range of legal matters to management, key stakeholders, and executives.
  • Directs and manages complex legal issues, including providing legal responses, evaluating costs, developing strategies, and overseeing the resolution of disputes.
  • Directs, manages, and oversees the work of counsel team for broad array of legal matters.
  • Monitors and enhances current processes, as well as designs new processes, to ensure compliance with applicable local, state, and federal laws and regulations.
  • Analyzes and identifies legal issues, drafts key documents, presents recommendations to senior management, and ensures legal compliance.
  • Examines legal data to determine advisability of defending or prosecuting lawsuits.
  • Represents the organization to customers, suppliers, competitors, and government agencies.
  • Provides resolution of business or technical issues by identifying legal solutions and recommending courses of action.
  • Structures, drafts, negotiates, and approves legal documents. Ensures compliance with business and regulatory requirements.
  • Leads and manages a variety of legal activities and department initiatives.
  • Identifies, monitors, and addresses legal risk issues and mitigates risk exposure.
  • Conducts legal research and stays updated on changes in laws and regulations that may impact the company.
  • Retains and manages outside counsel. Oversees strategy and reviews invoices.
  • Foster a high-performance culture by actively developing talent, promoting continuous learning, and nurturing an environment of collaboration, innovation, and inclusivity.
  • Perform other duties to support the legal team, as needed.

Nature and Scope

  • Problems are complex and may be defined by higher level leadership. Solutions require high strategic level analysis and investigation.
  • Drives strategy and methodology and serves as the subject-matter expert for policies and practices. Decides how to achieve planned results within an organization's plans, policies, and guidelines.
  • Manages via multiple layers OR directly supervises a staff of professional individual contributors at the senior or technical advisor level. Directs budgetary responsibility at the enterprise level or for two or more businesses across the enterprise.

Work Environment

  • Located in a comfortable indoor area. Any unpleasant conditions would be infrequent and not objectionable.
  • Most of the time is spent sitting in a comfortable position and there is frequent opportunity to move about. On rare occasions there may be a need to move or lift light articles.
  • Typically requires overnight travel less than 10% of the time.

Education and Experience

  • Typically requires BS/BA in a related discipline. Generally 10+ years post JD experience in a law firm or in-house experience, including several years in a management/supervisory capacity.
  • JD from an accredited law school required and licensed to practice in at least one U.S. State required.

Preferred Qualifications

  • Extensive expertise in corporate governance and board operations, including advising the Board of Directors and senior officers on fiduciary duties, governance structures, committee charters, bylaws, delegations of authority, officer appointments, and compliance with applicable corporate, securities, and regulatory requirements.
  • Experience supporting corporate secretary functions for complex corporate structures, including entity governance, officer and director appointments, delegated authorities, and compliance with corporate and securities law requirements.
  • Ability to work both independently with little oversight and collaboratively in a team-oriented environment. 
  • Excellent written communication and interpersonal skills, with the ability to effectively engage and influence stakeholders at all levels.
  • Analytical mindset with the ability to access complex situations and develop appropriate strategies.
  • Experience working in a team-oriented environment managing legal staff.
  • Strong negotiation, drafting and analytical skills.
