The Sr. Commercial Counsel will play a critical role in managing complex enterprise software transactions and commercial agreements, providing strategic legal guidance across multiple business functions. This position requires balancing commercial objectives with legal risk management while supporting a fast-growing, high-tech environment. You will negotiate, draft, and advise on contracts, collaborating closely with product, privacy, HR, and marketing teams. The role offers the opportunity to shape and streamline contracting processes, influence key business decisions, and contribute to the growth and scalability of the legal function. Success in this position requires autonomy, strategic thinking, and the ability to operate as a trusted business partner across cross-functional teams. Accountabilities:
- Draft, negotiate, and provide counsel on commercial agreements including SaaS licenses, NDAs, evaluation agreements, ecosystem partnerships, DPAs, and vendor contracts.
- Provide pragmatic business and legal advice to product, sales, and operational teams on complex commercial risks.
- Manage and resolve complicated contractual issues while aligning with cross-functional stakeholders.
- Own the full contracting lifecycle, from initial draft to execution, ensuring timely and effective completion.
- Help build, streamline, and operationalize contracting processes to scale legal operations efficiently.
- Support other internal teams, including HR, Marketing, and Product, on deal structuring, research, and risk counseling.
- Act as a flexible problem-solver, contributing wherever legal expertise is needed across the organization.
Requirements:
- 8+ years of experience with complex tech transactional work in high-growth or enterprise software environments.
- J.D. degree from a reputable law school and active membership in at least one U.S. state bar.
- Strong written and verbal communication skills with the ability to advocate while maintaining collaboration.
- Highly organized, detail-oriented, and capable of managing multiple priorities simultaneously.
- Proven ability to provide pragmatic, business-oriented legal advice in a fast-paced environment.
- Ability to operate autonomously while collaborating effectively with a team.
- Bonus: Knowledge of Privacy Laws, Data Security, government contracting, or multilingual capabilities (e.g., Spanish, Portuguese, Hebrew).
