Job Description: Serve as a corporate attorney and advise on legal aspects of mergers and acquisitions, investments, joint ventures, and related corporate matters. Draft, review, and negotiate transaction documents, including purchase agreements, joint venture agreements, shareholders’ agreements, and ancillary agreements. Conduct and oversee legal due diligence in connection with corporate transactions. Draft and review filings required by securities laws and stock exchange regulations in connection with the foregoing transactions. Provide ongoing advisory support to management and business teams on corporate governance and transactional compliance issues (telecommuting permitted one day per week).

 

Minimum Requirements: Requires a J.D., LL.M., or foreign equivalent. License to practice law in New York State. Requires a minimum of five (5) years of experience as an attorney in an Associate role at a global law firm. Experience must include: Representing U.S. and international public company and private equity clients on mergers and acquisitions transactions, including cross-border mergers and acquisitions. Performing drafting, negotiation, and advisory services for public and private companies. Drafting proxy statements for special meetings, purchase agreements, joint venture agreements, shareholders’ agreements and ancillary transaction agreements. Performing complex due diligence exercises for company clients. Advising company clients on strategic corporate transactions involving warranty insurance and private equity investments. Drafting and reviewing filings required by securities laws and stock exchange regulations. Advising company clients on securities laws requirements as well as general corporate matters. $275,000 – $350,000 per year
