About the Role:

As Corporate Counsel, you will play a key role in ensuring the company's governance framework is robust, compliant, and fit for a listed international business. You will provide strategic legal advice on corporate law, governance, and regulatory reporting, helping the organization navigate its obligations under Dutch and German listed company requirements.

Working closely with senior stakeholders across the business, you will drive governance initiatives, support corporate housekeeping activities, and promote a strong culture of integrity and ethical decision-making. Your impact will be reflected in the quality of the company's governance, consistent regulatory compliance, and the trust you build with internal and external stakeholders.

Job Description

About your tasks:
 

• Advise on corporate law and housekeeping and governance to ensure compliance with applicable Dutch and German regulatory requirements.
• Support corporate housekeeping, entity management, and group structuring activities in collaboration with internal stakeholders.
• Develop, maintain, and advise on policies and procedures related to corporate governance themes, as well as other legal templates and documentation.
• Support the preparation of annual reporting materials, shareholder communications, and documentation related to annual general meetings.
• Support the preparation of managing board and supervisory board meeting materials, the corporate calendar and meetings including follow-up actions.
• Monitor legal and regulatory developments and translate changes into practical recommendations and business-focused guidance.
• Identify legal risks and recommend appropriate mitigation measures.
• Drive continuous improvement of governance processes, legal policies, and compliance frameworks to enhance efficiency and transparency.

Qualifications

About you: 

• Minimum of 4 years of relevant experience in Dutch corporate law and corporate governance.
• Experience working in a cross-border or international environment is preferred.
• Academic degree in Law.
• Fluency in English, both written and spoken.
• Excellent communication and stakeholder management skills.
• Strong organisational skills with the ability to manage multiple priorities.
• High level of integrity, objectivity, discretion, and confidentiality.
• Proactive, pragmatic, and business-oriented approach to legal advice.
