A leading international company within the iGaming industry is looking for an experienced Corporate Legal Counsel to join its Legal team.
This is an excellent opportunity for a commercially minded legal professional to work on complex cross-border corporate matters, corporate governance, M&A projects, and strategic initiatives within a fast-growing international group. You will partner closely with senior leadership, advising on corporate legal matters while ensuring compliance across multiple jurisdictions.
Provide legal advice on corporate governance, company law, and strategic corporate matters across the Group.
Support Boards of Directors and Board Committees, including preparing board and shareholder resolutions, meeting documentation, and maintaining corporate records.
Manage corporate housekeeping activities, ensuring compliance with statutory and regulatory obligations across multiple jurisdictions.
Liaise with company registries, regulatory authorities, and external corporate service providers.
Draft, review, and negotiate a broad range of corporate legal documents, including:
Board and shareholder resolutions
Powers of attorney
Constitutional documents
Intercompany agreements
Financing and loan agreements
Share issuances and transfers
Capital reorganisations
Support the incorporation, restructuring, and ongoing management of international group entities.
Assist with mergers & acquisitions, corporate restructurings, investments, financing transactions, and legal due diligence.
Advise internal stakeholders on corporate, governance, financing, intellectual property, and general commercial matters.
Coordinate external legal counsel across multiple jurisdictions.
Contribute to the development and continuous improvement of corporate governance policies, procedures, and internal controls.
Support strategic business projects alongside senior management.
Bachelor's degree in Law (LLB); an LLM is considered an advantage.
Qualified lawyer admitted to practice in your jurisdiction.
Minimum 3 years' post-qualification experience (PQE) in corporate law.
Strong knowledge of corporate governance, company law, and corporate administration.
Experience managing corporate records, statutory filings, and Registrar of Companies procedures.
Experience supporting M&A, corporate restructurings, financing transactions, or cross-border projects is highly desirable.
Experience within a regulated industry (financial services, fintech, iGaming, payments, or similar) is an advantage.
iGaming or licensing experience is considered a strong plus.
Excellent written and verbal English.
Strong organisational skills, attention to detail, and the ability to manage multiple priorities in a fast-paced environment.
