As Corporate Legal Operations Counsel, you will own and continuously improve ZEAL’s corporate housekeeping as a scalable legal service. Your mission is to transform recurring governance and documentation work into standardized, automated workflows that ensure reliability, transparency, and audit readiness across the organisation.
The role sits within the Legal team and works closely with the General Counsel, the Senior Legal Counsel (Data Privacy / Legal Ops), and key stakeholders including the Executive Assistant, Investor Relations and, Finance/Tax. While meeting coordination and market disclosure are handled elsewhere, you will focus on ensuring the corporate governance engine runs smoothly with minimal manual intervention, clear process ownership, and well-defined exception handling. By combining pragmatic corporate law expertise with a strong legal operations mindset, you will enable efficient governance processes that support ZEAL’s growth as a publicly listed digital business.
Design and standardize ZEAL’s corporate housekeeping services, mapping governance processes such as board and shareholder resolutions, minutes, powers of attorney, delegation frameworks, and signing authorities.
Build and maintain automated corporate workflows using low-code tools (e.g., SharePoint, Power Automate, Jira/Confluence, DocuSign) for request intake, approvals, document generation, signature routing, filing, and notifications.
Govern and continuously improve the legal template library and Confluence knowledge base, enabling self-service for standard cases and reducing manual legal involvement.
Establish and maintain an audit-ready documentation environment, ensuring a single source of truth in SharePoint with clear version control, retention rules, and access governance.
Manage entity administration through process-driven tracking of registers and corporate actions, coordinating with notaries and external counsel for exceptions or complex transactions.
Support entity changes and setups across jurisdictions such as Germany, and other European countries in collaboration with the General Counsel and external advisors.
Monitor operational performance by tracking cycle times, backlog, automation rates, and exception handling, and drive continuous improvement through structured process optimization.
Enable stakeholders across the business by providing clear request workflows, checklists, and training, while ensuring seamless interfaces with Legal, Executive Support, Finance/Tax, Investor Relations, and Risk.
Solid practical experience in German corporate housekeeping (Aktienrecht/GmbH), including drafting and maintaining resolutions, minutes, powers of attorney, and delegation or signing policies with high accuracy.
A strong legal operations and process engineering mindset, with the ability to design structured governance workflows, define controls, and implement scalable automation.
Hands-on experience with workflow and collaboration tools such as SharePoint and Power Automate; familiarity with Jira, Confluence, or comparable platforms is a strong advantage.
Proven ability to manage stakeholders and deliver cross-functional projects in a pragmatic and solution-oriented manner.
Experience working in technology, e-commerce, or regulated digital environments with agile ways of working is a plus.
Familiarity with contract lifecycle management (CLM), legal KPI dashboards, knowledge management systems, or template governance frameworks is advantageous.
Exposure to governance routines in a publicly listed company environment is beneficial, though ownership of market disclosure is not required.
Excellent written and verbal communication skills in German and English, with a high standard of documentation and drafting quality.
