General Counsel

Mazzei Group is a privately owned construction company based in Melbourne, delivering projects across luxury residential, social and affordable housing, SDA and remediation throughout Victoria and South Australia.

As the Group continues to grow, we’re looking to appoint a commercially minded General Counsel to join the Executive Leadership Team and help shape the next phase of the business.

This is a rare opportunity for an experienced legal professional seeking a flexible senior leadership role within a fast-growing and entrepreneurial construction group.

About the Role

Reporting directly to the Managing Director and partnering closely with the Executive Leadership Team and Advisory Board, the General Counsel will lead the Group’s legal, governance, compliance and risk function across a diverse and evolving portfolio.

Operating in a part-time capacity (2–3 days per week), this role will provide commercially focused legal support across construction delivery, corporate governance, disputes, compliance, risk management and strategic business initiatives.

The position will suit someone who enjoys working closely with decision makers, influencing commercial outcomes, and building practical legal frameworks within a dynamic business environment.

Key Responsibilities

• Lead all major contract drafting, negotiation and advisory matters across the Group

• Provide strategic legal advice across construction, corporate, governance, employment, risk and compliance matters

• Oversee disputes, claims strategy and external legal counsel management

• Establish and improve legal systems, frameworks, contract governance and compliance processes

• Support Board and executive governance obligations, including company secretarial responsibilities

• Advise on joint ventures, corporate structuring, equity programs and future capital event readiness

• Partner with operational leaders to proactively identify and manage commercial risk across live projects

• Build internal legal capability and drive a practical, commercially focused legal culture

About You

We’re looking for an experienced senior legal professional who combines strong technical capability with commercial instinct and executive presence.

You will likely bring:

• 10+ years post-admission experience

• Strong construction and infrastructure contract expertise (AS4000, AS4902, NEC, GC21 or similar)

• Experience within construction, property, infrastructure, development or contractor environments

• Proven in-house legal leadership experience

• Strong corporate/commercial law capability, including governance, JV structures and strategic transactions

• The ability to influence senior stakeholders and simplify complex legal matters into practical commercial advice

• A proactive, solutions-focused mindset with the confidence to operate at executive level
