We are seeking an accomplished legal leader with a proven track record of driving organizational change, building high-trust relationships across all levels, and delivering business results. The ideal candidate will be a strategic thinker, adept at balancing profitable growth with legal and business risk mitigation and will champion innovation—including the use of technology—to advance legal and business objectives.

In this critical role, you will provide comprehensive legal counsel and support across a wide range of business functions, including but not limited to sales, operations, marketing, and finance for the North America division of Securitas Technology. The Business Unit General Counsel for Securitas Technology North America will report to the General Counsel – North America for Securitas and will be a key member of the Securitas Technology North America leadership team.

KEY RESPONSIBILITIES: BUSINESS UNIT GENERAL COUNSEL

Serve as a trusted advisor and thought partner to the business unit leadership team, fostering a culture of collaboration and continuous improvement.
Lead and inspire the legal team, promoting professional development, engagement, and a high-performance culture.
Drive change management initiatives within the legal function and across the business, ensuring alignment with strategic objectives.
Build and maintain strong relationships with internal and external stakeholders, including executive leadership, business partners, regulators, and clients.

Specific Responsibilities:

Contract Negotiation & Drafting

Negotiate and draft a variety of commercial contracts, including sales. agreements, subcontractor agreements, SaaS agreements, EULAs/Terms of Use, pilot/beta testing agreements, and dealer agreements.
Leverage AI to develop and implement contract templates and playbooks to streamline processes and ensure consistency.
Supervise a Contracts Team comprised of four contract administrators.

Disputes

Investigate and assist with pre-litigation matters related to security events, auto accidents, and construction disputes.
Work collaboratively with the head of litigation for North America to support the litigation strategy.
Give recommendations to senior leadership to discuss settlement of claims and disputes and pre-litigation matters.

M&A

Provide legal guidance with respect to mergers, acquisitions, and divestitures, including conducting legal diligence and direct outside counsel with respect to negotiations of purchase agreements.

Support the Human Resources team as needed in relation to disputes with current and former employees, compliance matters, etc.

Data Privacy & Cybersecurity

Advise on data privacy and cybersecurity matters, including compliance with relevant regulations (e.g., GDPR, CCPA, etc.).
Negotiate and draft data processing agreements and other agreements related to data security and privacy.

Licensing

Directly supervise the manager of the Licensing team responsible for compliance with federal, state, and municipal licensing laws and regulations.

Corporate Governance

Direct all aspects of corporate governance, including preparation of resolutions, conducting annual meetings of directors, managing records filings related to officers and directors, etc.
Supervise Corporate Paralegal who assists with these matters.

Training & Communications

Act as a visible leader and communicator, ensuring legal guidance is accessible and actionable for all business partners.
Develop and deliver training programs to internal teams on legal and compliance topics.
Enforce compliance with internal legal policies and procedures.
Review marketing materials for legal and regulatory compliance.

Process Improvement

Champion and implement innovative legal solutions and best practices to enhance efficiency and support business transformation.
Continuously identify and implement process improvements to enhance legal and operational efficiency and to reduce legal risk.

Miscellaneous

Assist with additional legal tasks as assigned by General Counsel – North America, or as requested by key business partners.

POSITION QUALIFICATIONS: BUSINESS UNIT GENERAL COUNSEL

Experience advising executive leadership and participating in strategic decision-making.
Demonstrated experience leading teams through change and transformation and building high-performance teams.
Exceptional relationship-building and influencing skills, with the ability to partner effectively across functions and geographies.
Seven to Nine years of relevant experience in-house or in a firm.
Significant experience in negotiating and drafting a wide range of commercial contracts.
Significant experience managing and resolving disputes and claims.
Strong analytical and problem-solving skills with the ability to think strategically and creatively.
Willingness to learn and leverage technology, including generative AI software, to increase efficiency.
Excellent written and verbal communication, interpersonal, and presentation skills.
Strong organizational and change management skills, with the ability to manage multiple priorities in a dynamic environment.
Juris Doctor (J.D.) degree from an accredited law school.
Admitted to and in good standing with the bar of at least one state.

Preferred Qualifications

Experience advising executive leadership and participating in strategic decision-making.
Experience in the electronic security industry or related security or technology industries.
Previous experience as a Division General Counsel, Business Unit General Counsel or lead lawyer for a subsidiary within a larger portfolio of companies.
Proficiency with generative AI contract software.
