Purpose of the Role


The Legal Counsel is responsible for providing legal expertise to support STS’s global operations. This individual will support the drafting and review of all contracts, manage legal risk, and ensure compliance across jurisdictions. Majority of the work will be undertaken in the North American time zone – despite STS having a global presence. 


Responsibilities:


  • Provide accurate, relevant, and timely legal advice to internal stakeholders across a variety of topics. 
  • Draft, review, and negotiate a range of commercial agreements, including client contracts, NDAs, and partnership agreements. 
  • Manage and mitigate legal risks by developing and implementing internal policies and procedures. 
  • Ensure compliance with applicable laws and regulatory requirements in relevant jurisdictions.
  • Promote legal, compliance, and risk management best practices throughout the organization. 
  • Manage relationships with third-party providers including external counsel and auditors.
  • Update and maintain organizational template documents. 
  • Stay informed on legislative and regulatory changes that may impact the business
  • Liaise with senior leadership and provide training or guidance on legal matters. 


    Key Requirements:


    • Ideally 5 years post-qualification experience (PQE), with a sound understanding and knowledge of commercial and corporate law.  
    • Experience in drafting and negotiating contracts is essential. 
    • M&A experience is highly desirable; however, candidates with relevant exposure and alignment to other key requirements will also be considered. 
    • A background as in-house legal counsel is preferred but not required.

    • Independence: The ability to work independently with minimal oversight, demonstrating self-direction, initiative, and a high degree of accountability in delivering high-quality outcomes. 
    • Attention to Detail: The ability to maintain accuracy and precision in reviewing, drafting, and managing legal documents. Ensures consistency and compliance across all deliverables through a meticulous and methodical approach.
