Legal Counsel
Private Equity / Real Estate Investment Platform | London / Hybrid
This is a standout opportunity for a commercially minded lawyer to join the European legal team of a sophisticated private equity / real estate investment platform.
The role offers the kind of breadth that is difficult to get in private practice. You will be close to the business, working directly with investment, finance, tax, compliance and asset management teams across Europe, and supporting matters from deal execution through to portfolio management, refinancing, restructuring and exit.
Rather than sitting in a narrow transactional lane, you will help the business make decisions across the full investment lifecycle. The work will include acquisitions and disposals, joint ventures, asset management matters, European fund structures, corporate governance, financing, commercial contracts and regulatory/compliance support.
The role would suit a lawyer who wants genuine responsibility, strong stakeholder exposure and the chance to build a broader in-house skillset within a high-quality investment platform.
We are particularly interested in speaking with candidates who have experience in private equity real estate, investment management, funds, finance or corporate transactions, gained either at a leading international law firm or in-house within an investment platform.
The role
The work will include:
Supporting acquisitions, disposals, joint ventures and asset management matters across Europe
Advising investment, finance, tax, compliance and asset management teams on legal and transaction risk
Coordinating external legal, tax and corporate advisers across multiple jurisdictions
Supporting investment committee and board approval processes
Assisting with asset and portfolio-level financings, refinancing and restructurings
Supporting European fund structures, including Luxembourg investment and holding vehicles
Reviewing board minutes, shareholder resolutions, written consents and corporate approvals
Maintaining signing authorities, delegation frameworks and governance procedures
Preparing and negotiating NDAs, information-sharing arrangements, engagement letters and commercial contracts
Supporting AML, data protection, corporate compliance and regulatory initiatives
The candidate
Candidates should ideally have:
Qualification as a solicitor in England & Wales or another relevant common law jurisdiction
Experience in private equity real estate, investment management, funds, finance or corporate transactions
Experience from a leading international law firm and/or in-house investment, private equity or real estate platform
Exposure to cross-border transactions across Europe
Strong drafting, review and transaction management skills
Good understanding of corporate governance and approval processes
Confidence managing external counsel, administrators and advisers
Strong commercial judgement and the ability to identify practical legal risk
High EQ, good judgement and a collaborative working style
Useful experience
The following would be helpful:
Private equity real estate transactions
Real estate acquisitions and disposals
Asset-level financing or refinancing
Fund operations / investment management
Corporate governance across European entities
AML, data protection or regulatory compliance exposure
