Platform Businesses / Technology Transactions: Review, draft, negotiate and close a broad range of technology agreements, such as software licensing, SaaS, hosting, and technology services to support client engagements for EXL’s platform businesses.
- You will become an integral part of a dynamic team providing effective legal support to EXL’s Platform businesses, Strategic Partnerships, enterprise vendor engagements, and other matters handled by the comply with company policies and processes, applicable laws and regulations, including data privacy and security requirements (e.g., GDPR, CCPA/CPRA)
- Work closely with cross-functional teams (e.g., product, sales, operations, technology) to address legal issues and mitigate risks.
- Provide strategic and programmatic advice and support on legal and regulatory requirements of technology implementation and usage.
- Serve as the day-to-day legal point on contractual queries and matters of contract interpretation.
- Assist in the continuous improvement of template agreements for platform businesses for efficient and consistent contract management.
- Collaborate closely with the rest of Legal team to implement company policies, processes, and standards.
- Stay abreast of legal and industry developments relevant to the company’s business, including evolving data privacy and AI laws and regulations.
Enterprise Partnerships / Vendor Agreements:
- Review, draft and negotiate enterprise partnership and vendor agreements to support the needs of the Strategic Partnerships and Technology teams.
- Provide strategic and programmatic advice and support on contractual, legal and regulatory requirements and industry standards relevant to the type of partnership and vendor contracts.
- Serve as the day to day legal point on contractual queries and matters of contract interpretation.
- Assist in the design of partnership frameworks, templates, and playbooks that enable the team to evaluate and execute deals efficiently while maintaining appropriate risk controls.
QualificationsRequired Qualifications:
- Have a JD and active membership in at least one U.S. state bar (NY or California preferred)
- Minimum 3-7 years of relevant legal experience, with at least 2 years of substantial focus on technology and complex commercial transactions or strategic partnerships/alliances
- Strong candidates will have a mix of law firm and in-house experience at a high growth company
- Proactive self-starter, able to work independently and meet deadlines with minimal daily supervision
- Proven ability to handle high volumes and set priorities to meet business objectives
- Sense of urgency, detail oriented, excellent organizational skills
- High degree of professional integrity and discretion when handling confidential information
- Excellent oral and written communications skills, with the ability to influence at all levels
- Ability to thrive in a matrixed environment, working cross-functionally with other areas including Operations, Finance, Privacy and Information Security, and HR.
- Ability to build trusted relationships and work collaboratively with people at all levels (internally and externally)
- Must be ready to take extra responsibility and lead from the front.

- Intellectual curiosity and interest in AI technology and its applications
- Entrepreneurial mindset and comfort with ambiguity
- Substantial privacy experience or privacy certification strongly preferred
- Experience working in or with regulated industries is a plus.
