Senior-level commercial contracting expertise, including SaaS, software licensing, MSAs, DPAs, reseller, referral, and distribution agreements in sales-driven environments.
Practical privacy and data protection capability, with strong application of GDPR and CPRA/CPPA principles in commercial negotiations and vendor, partner, and customer arrangements.
Strategic legal judgment and risk management, balancing regulatory, competition, and contractual risk with commercial objectives in fast-paced, global businesses.
Cross-functional collaboration and scalable legal execution, working closely with Sales, Deal Desk, Finance, GRC, and Partnerships to drive efficient deal closure and continuous improvement of legal processes.
About this role
As Senior Commercial and Privacy Counsel you will be responsible for negotiating a wide variety of commercial and privacy contracts and advising the business on a variety of novel legal issues. This position provides a unique opportunity to make an immediate impact, and interact directly with amazingly friendly co-workers in a fast-paced dynamic environment.
This is an exciting opportunity to advise on complex, high-impact partnership and commercial transactions that enable Udemy’s global technology ecosystem. You’ll collaborate closely with business, product, and operational teams to structure, negotiate, and execute strategic partnerships and drive scalable improvements across the Legal and Partnerships functions.
Here’s what you will be doing:
Support Sales for Udemy Business and Procurement by negotiating commercial agreements, including SAAS subscription agreements, master services agreements, data processing agreements, NDAs, distribution and various other agreements
Support the partnerships team and negotiate channel, reseller and distribution agreements, including referral programs and multi tier partner structures.
Solve for privacy and security considerations with our vendors and customer base
Effectively coordinate with internal stakeholders from nearly every department of the company, including Finance, Sales Operations, Deal Desk, Customer Success, and GRC, to negotiate a variety of different agreements in accordance with relevant policies and procedures to ensure Udemy’s interests are adequately protected
Support the continuous improvement of standard forms of agreement and legal processes.
Monitor and analyze changes in the law and legal risks to ensure we comply with applicable laws and regulations
Counsel internal teams regarding company policies, legal issues, and risk tolerance.
Develop training and other informational materials to educate the team and business on key contract issues, legal processes, compliance, and data privacy topics
Support on other relevant tasks and projects as requested
Help maintain our team’s excellent sense of humor and enjoyment of work
We're excited about you because you have:
7+ years experience working on commercial contracts either at a law firm or in-house legal department, including experience negotiating and drafting SaaS agreements
In-house commercial contracting experience dealing with SaaS or software licensing transactions and supporting a sales organization
Strong knowledge of CPPA and GDPR as it relates to commercial contracts
Understanding of exclusivity arrangements, territorial restrictions, and competition law implications in reseller relationships
Excellent negotiating and influencing skills, and a talent for non-confrontational, win-win negotiations
Excellent verbal and written communication skills with ability to distill complex issues clearly and communicate in a succinct, clear and concise manner.
Attention to detail, a sense of passion to support Udemy’s business and the versatility and confidence to take on challenges that are presented to you
Excellent critical thinking abilities, a strong business acumen and the ability to work autonomously and prioritize a workload in a fast-paced work environment.
Desire for close collaboration with sales and sales support to close deals efficiently, with a practical approach
Experience managing legal aspects of scaled partner ecosystems with multiple reseller tiers and complex commission arrangements
Proficient drafting and legal technical skills, with keen attention to detail
Experience working across jurisdictions and time zones
Team player who enjoys building relationships and working with others
Great personality, zest for life and a sense of humor
Great if you have, but not required:
IAPP (CIPP/E, CIPM, CIPT) or similar privacy certification
IAPP (AI)
