We are looking for: 

An exceptional Senior Legal Counsel – Mergers & Acquisitions to join a growing specialist M&A legal team supporting Syensqo’s global strategy.  Reporting directly to the Head of M&A Legal, you'll be a senior legal adviser on complex cross-border acquisitions, divestitures, joint ventures and other strategic investments for Syensqo’s business across the globe.   

This is a role for someone who enjoys operating at the center of strategic decision-making in an international environment. You'll partner closely with Syensqo’s M&A Execution, Strategy, Finance and senior business leaders, providing commercially focused legal advice from the earliest stages of a transaction through signing, closing and integration.

As part of our specialist M&A legal team, you will: 

  • Lead the legal execution of complex international M&A transactions.  
  • Advise on transaction structures, legal risk allocation and strategic alternatives.  
  • Negotiate principal transaction documents, including SPAs, APAs, Shareholders' Agreements, Joint Venture Agreements, TSAs, and ancillary documentation. 
  • Direct legal due diligence across multiple jurisdictions and coordinate specialist legal workstreams.  
  • Manage external counsel globally, ensuring commercially pragmatic advice and effective management of legal spend.  
  • Partner with M&A Execution, Corporate Strategy, Tax, Treasury, Finance, HR, IT, Compliance and other functions throughout the deal lifecycle.  
  • Lead signing and closing processes, including coordinating governance approvals, and completion mechanics.  
  • Support post-closing integration, purchase price adjustments, and corporate carve-out transactions.  
  • Contribute to legal playbooks, templates and best practices.

You will bring: 

  • 8-12 years' post-qualification experience in corporate law and M&A.  
  • A strong foundation gained at a leading international law firm, with in-house experience a plus but not essential.  
  • Extensive experience leading sophisticated domestic and cross-border transactions.  
  • Excellent drafting and negotiation skills.  
  • The ability to manage multiple transactions simultaneously.  
  • Comfort and familiarity with AI tools and enthusiasm for deploying them. 
  • Strong commercial judgement and the confidence to advise senior executives on strategic decisions.  
  • Excellent stakeholder management skills and the ability to build trusted relationships across an international organisation

You will get: 

  • The Belgium annual base salary range reasonably expected to be paid for this new hire is: € 125,000 to € 156,000.  Actual compensation will be determined based on factors such as skills, experience, qualification, and internal equity and can ultimately be more or less than the posted salary range. Total compensation for this role also includes bonus and/or other incentives  

  • 16, or more, weeks of maternity/paternity and co-parenting leave, according to local regulations

  • The primary location for this job is Brussels, Belgium; however, it may also be based in Paris, France. Local competitive salary conditions will apply, in line with local legislation. Information will be provided before your first interview
