About the Role:

The General Counsel will serve as the chief legal advisor for the organization, providing comprehensive legal guidance to the executive team and board of directors. This role is pivotal in managing all legal aspects of the company’s operations, ensuring compliance with applicable laws and regulations within the professional, scientific, and technical services industry. The General Counsel will lead risk management efforts by identifying potential legal risks and developing strategies to mitigate them effectively. Additionally, this position involves overseeing corporate governance, contract negotiations, dispute resolution, and intellectual property matters to protect and advance the company’s interests. The successful candidate will foster a proactive legal environment that supports business objectives while maintaining the highest standards of integrity and ethical conduct.

Minimum Qualifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to practice law in at least one U.S. state.
  • Minimum of 8 years of legal experience, with at least 3 years in a senior legal role or as in-house counsel.
  • Demonstrated expertise in corporate law, contract negotiation, and regulatory compliance.
  • Strong knowledge of laws and regulations relevant to the professional, scientific, and technical services industry.

Preferred Qualifications:

  • Experience working as General Counsel or in a senior legal leadership position within a similar industry.
  • Familiarity with intellectual property law, data privacy regulations, and employment law.
  • Advanced certifications or training in corporate governance or compliance.
  • Proven track record of managing complex litigation and regulatory investigations.
  • Experience working with multinational organizations and understanding of international legal frameworks.

Responsibilities:

  • Provide strategic legal advice and counsel to senior leadership on a wide range of corporate, commercial, and regulatory matters.
  • Draft, review, and negotiate contracts, agreements, and other legal documents to ensure favorable terms and compliance with laws.
  • Manage and oversee all litigation and dispute resolution processes, coordinating with external counsel as necessary.
  • Develop and implement policies and procedures to ensure compliance with federal, state, and local laws and regulations.
  • Advise on intellectual property rights, data privacy, employment law, and other relevant legal issues impacting the organization.
  • Lead corporate governance activities, including board meetings, shareholder communications, and regulatory filings.
  • Conduct risk assessments and develop mitigation strategies to protect the company from legal exposure.
  • Stay current on legal trends and changes in legislation affecting the professional, scientific, and technical services sector.

The General Counsel will utilize their legal expertise daily to interpret and apply complex laws and regulations, ensuring the company’s operations remain compliant and legally sound. Strong negotiation skills are essential for drafting and finalizing contracts that protect the company’s interests while fostering positive business relationships. Analytical and problem-solving skills will be employed to assess legal risks and develop effective mitigation strategies. Excellent communication skills are critical for advising executives, collaborating with internal teams, and managing external counsel. Leadership and organizational skills will be used to oversee legal department functions, guide corporate governance, and drive initiatives that align legal strategy with business goals.
